This Purchase Order is issued by Aravind Medical Institute, India New Delhi, to engage the services of a qualified and experienced Surgeon for a period of twelve (12) months commencing 1 July 2025. The Surgeon shall provide the following professional surgical services at the institute's facility located in India New Delhi:

4.1 This Purchase Order constitutes a binding agreement between Aravind Medical Institute, India New Delhi (hereinafter "the Institute") and the named Surgeon (hereinafter "the Contractor") for the provision of surgical and related medical services.
4.2 The Surgeon shall maintain valid registration with the Delhi Medical Council and the National Medical Commission of India throughout the duration of this Purchase Order. Any lapse in registration shall render this Purchase Order void at the Institute's discretion.
4.3 The Surgeon shall adhere to all clinical protocols, infection control standards, and patient safety guidelines established by the Institute and as mandated by the Clinical Establishments (Registration and Regulation) Act, 2010, applicable in India New Delhi.
4.4 All surgical procedures performed under this Purchase Order shall be documented in the Institute's electronic medical records system within twenty-four (24) hours of procedure completion.
4.5 The Surgeon shall carry a minimum of INR 50,00,000 (Fifty Lakh Rupees) professional indemnity insurance coverage, valid for the entire contract period, with the Institute named as an additional insured party.
4.6 Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice, subject to verification of services rendered. Payment shall be processed via electronic bank transfer to the account specified in Section 2.
4.7 The Institute reserves the right to audit the Surgeon's clinical records, procedure logs, and patient outcome data at any reasonable time during the contract period.
4.8 Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, all completed services shall be settled within fifteen (15) days of the termination date.
4.9 All disputes arising from this Purchase Order shall be resolved through arbitration in India New Delhi in accordance with the Arbitration and Conciliation Act, 1996, of India. The language of arbitration shall be English.
4.10 The Surgeon shall comply with all data protection and patient confidentiality requirements under the Digital Personal Data Protection Act, 2023, and shall not disclose any patient information obtained during the course of services rendered under this Purchase Order.
This Purchase Order is issued in accordance with the Institute's internal procurement policy (Ref: AMI/PROC/POL/2024/003) and has been approved by the Board of Directors of Aravind Medical Institute, India New Delhi, vide Board Resolution No. BOD/2025/087 dated 10 June 2025.
