- 3.1 This Purchase Order constitutes a binding agreement between MedPersia Surgical Services Group (hereinafter "the Buyer") and the named Surgeon (hereinafter "the Contractor") for the provision of surgical and related medical services in Tehran, Iran.
- 3.2 The Surgeon shall maintain all necessary licenses, certifications, and malpractice insurance as required by the Iranian Medical Council and the Ministry of Health throughout the duration of this Purchase Order.
- 3.3 All surgical procedures referenced in this Purchase Order shall be performed at the MedPersia Hospital facility, Tehran, Iran, or at such other approved location within Tehran as mutually agreed in writing.
- 3.4 Payment terms: 50% of the total Purchase Order value shall be due within 15 business days of the commencement of services, and the remaining 50% shall be due within 30 business days of the completion of all scheduled procedures. Payment shall be made via bank transfer to the account designated by the Surgeon in accordance with Iranian banking regulations.
- 3.5 The Surgeon shall provide a detailed written report for each procedure performed, including operative notes, anesthesia records, and post-operative care instructions, to be filed with the hospital's medical records department in Tehran.
- 3.6 In the event of cancellation or rescheduling of any procedure listed in this Purchase Order, the Surgeon shall notify the Buyer no fewer than 48 hours in advance. Cancellations made within 48 hours of the scheduled procedure shall be subject to a 25% fee of the applicable line item.
- 3.7 This Purchase Order is governed by the laws of the Islamic Republic of Iran. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Tehran, Iran.
- 3.8 The Surgeon shall comply with all data protection and patient confidentiality regulations as stipulated by Iranian law. All patient records generated under this Purchase Order shall remain the property of MedPersia Hospital, Tehran.
- 3.9 This Purchase Order may be amended only by mutual written consent of both parties. No verbal modifications shall be considered valid.
- 3.10 The Surgeon warrants that all services provided under this Purchase Order shall be performed in accordance with the highest standards of surgical practice as recognized by the Iranian Medical Association and international surgical guidelines.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Surgeon confirms availability to perform all services listed herein at the designated facility in Tehran, Iran, within the timeline specified.
