This Purchase Order authorizes the procurement of the professional services of a qualified Surgeon, Dr. Marcus A. Whitfield, for a fixed-term engagement at the Kansai Regional Medical Center located in Japan Osaka. The Surgeon shall provide full-time surgical services, including but not limited to vascular surgery, general abdominal surgery, emergency surgical interventions, and supervisory duties over junior surgical staff. The Surgeon is expected to perform a minimum of forty (40) surgical procedures per month and to be available for on-call emergency duties in accordance with the hospital's operational schedule in Japan Osaka.

In addition to the Surgeon's professional services, this Purchase Order encompasses the procurement of specialized surgical instruments, laparoscopic equipment, and personal protective gear required for the Surgeon to perform duties at the facility in Japan Osaka. All equipment shall meet the standards set forth by the Japan Medical Device and Materials Management Association (JMDMA) and the Ministry of Health, Labour and Welfare (MHLW) of Japan.

5.1 This Purchase Order is governed by the laws of the State of Osaka, Japan, and the international commercial provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable.

5.2 The Surgeon shall maintain full professional medical malpractice insurance coverage with a minimum liability limit of 500,000,000 JPY throughout the duration of the engagement in Japan Osaka. Proof of insurance shall be submitted prior to the commencement date.

5.3 Payment terms: 30% advance upon execution of this Purchase Order; 70% payable in twelve (12) equal monthly installments commencing on 01 September 2025. All payments shall be made via international wire transfer in Japanese Yen (JPY) to the account specified in Section 2.

5.4 The Surgeon agrees to comply with all regulations issued by the Japan Medical Association (JMA) and the Osaka Prefectural Board of Health. The Surgeon shall complete all required Japanese-language medical terminology certification within the first ninety (90) days of the engagement.

5.5 Cancellation: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of early termination, the Surgeon shall be compensated for all services rendered up to the termination date, and all procured equipment shall be returned to the Kansai Regional Medical Center in Japan Osaka in working condition.

5.6 All surgical equipment procured under this Purchase Order shall be delivered to the operating theatre storage facility at the Kansai Regional Medical Center, Japan Osaka, no later than 25 August 2025. Delivery shall be arranged by the supplier at no additional cost to the issuing authority.

Note: This Purchase Order becomes legally binding upon signature by both the authorized representative of the Kansai Regional Medical Center, Japan Osaka, and the contracting agency representing the Surgeon. A scanned copy of the signed document shall be filed with the hospital's procurement department and the Osaka Prefectural Health Bureau.
