This Purchase Order is issued by the Almaty Regional Medical Procurement Authority for the engagement of a qualified Surgeon to provide specialized surgical services at the Almaty City Clinical Hospital No. 1, located in Kazakhstan Almaty. The Surgeon shall be responsible for performing elective and emergency surgical procedures, supervising junior surgical staff, conducting post-operative patient assessments, and participating in multidisciplinary surgical consultations throughout the contracted period. The Surgeon must hold a valid medical license issued by the Ministry of Health of the Republic of Kazakhstan and possess a minimum of ten (10) years of post-residency surgical experience in general surgery, vascular surgery, or cardiothoracic surgery.

All services under this Purchase Order shall be rendered exclusively at the Almaty City Clinical Hospital No. 1, situated at 55 Pushkin Street, Almaty, Kazakhstan. The Surgeon is required to report to the hospital's main surgical wing for all scheduled duties. Any off-site procedures, such as mobile surgical units deployed to rural districts surrounding Kazakhstan Almaty, must be pre-approved in writing by the Chief Procurement Officer and will be billed at the rates specified in Line Item 02.
- Payment shall be made in ten (10) equal monthly installments via bank transfer to the supplier's designated account in Kazakhstan Almaty, within fifteen (15) business days of receipt of a valid invoice.
- The supplier's bank account: Kaspi Bank, Almaty Branch, IBAN: KZ88 1250 0000 0000 0000 00, SWIFT: KASPKZKA.
- A late payment penalty of 0.5% per calendar day shall apply to any overdue installment, in accordance with the Civil Code of the Republic of Kazakhstan.
- All invoices must reference this Purchase Order number (KZ-ALM-2025-00472) to be processed.
- Taxes, including Value Added Tax (VAT) at the prevailing rate of 12% in Kazakhstan, are included in the stated prices unless otherwise noted.
- The Surgeon engaged under this Purchase Order must maintain full professional liability insurance with a minimum coverage of 50,000,000 KZT, valid throughout the entire contract period in Kazakhstan Almaty.
- The Surgeon shall comply with all regulations set forth by the Ministry of Health of the Republic of Kazakhstan, including but not limited to patient data protection standards and surgical safety protocols.
- The Supplier guarantees that the Surgeon will not be engaged in any concurrent surgical practice within a 50-kilometer radius of Kazakhstan Almaty without prior written consent from the Purchasing Entity.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Entity shall pay for all services rendered up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Almaty, Kazakhstan, in accordance with the rules of the Almaty International Arbitration Centre.
- This Purchase Order is governed by the laws of the Republic of Kazakhstan. All communications related to this document shall be conducted in the Russian or Kazakh language, with English translations provided for reference.
- The Surgeon shall submit a detailed monthly activity report to the Purchasing Entity by the 5th business day of the following month, documenting all procedures performed, patient outcomes, and hours worked.
- Force majeure events, including but not limited to natural disasters, epidemics, or government-mandated closures in Kazakhstan Almaty, shall suspend obligations under this Purchase Order without penalty to either party.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Surgeon in Kazakhstan Almaty. This document constitutes a binding agreement effective from the date of the last signature.
