This Purchase Order is issued by the Nairobi Metropolitan Health Services Authority (hereinafter referred to as "the Authority") to procure the professional surgical services of a qualified Consultant Surgeon for the period specified below. The Surgeon shall be engaged to provide general and emergency surgical services at the Authority's primary facility located in Kenya Nairobi, specifically at the Nairobi Central Referral Hospital, Ngara, Kenya Nairobi.

All amounts are denominated in Kenyan Shillings (KES). Payment shall be processed via bank transfer to the account designated by the Surgeon's registered practice, East African Surgical Consultants Ltd., within fourteen (14) calendar days of receipt of a valid invoice and completion of the monthly service verification form signed by the Head of the Surgical Department at the Kenya Nairobi facility.

3.1 This Purchase Order is governed by the laws of the Republic of Kenya and the Public Procurement and Asset Disposal Act, 2015 (as amended). All disputes arising from this Purchase Order shall be resolved in the courts of Kenya Nairobi.

3.2 The Surgeon must maintain a valid and current license issued by the Medical Practitioners and Dentists Council of Kenya throughout the entire engagement period. Failure to present a valid license upon request shall constitute grounds for immediate termination of this Purchase Order without penalty to the Authority.

3.3 The Surgeon shall adhere to all clinical protocols, infection control standards, and patient safety guidelines established by the Kenya Medical Association and the Ministry of Health, Kenya Nairobi. All surgical procedures must be documented in the patient's medical record in accordance with the Health Records and Information Management Act, 2011.

3.4 The Surgeon is required to submit a monthly activity report to the Director of Clinical Services at the Nairobi Metropolitan Health Services Authority by the 5th business day of the following month. The report shall include the number of procedures performed, complication rates, and any equipment or supply requisitions needed for the surgical theatre in Kenya Nairobi.

3.5 The Authority reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of sustained underperformance, breach of professional ethics, or failure to meet the service-level standards outlined in the attached Statement of Work.

3.6 The Surgeon shall carry professional indemnity insurance with a minimum coverage of KES 10,000,000 per claim, maintained throughout the duration of this Purchase Order. A certificate of insurance must be submitted prior to the commencement of services.

3.7 All personal data and patient records handled by the Surgeon in the course of this engagement are subject to the Data Protection Act, 2019 of Kenya. Unauthorized disclosure of patient information shall result in immediate termination and referral to the Data Protection Commissioner in Kenya Nairobi.

All services under this Purchase Order shall be rendered at the Nairobi Central Referral Hospital, Ngara, Kenya Nairobi, and its affiliated satellite clinics within the Nairobi County jurisdiction. The Surgeon is expected to be physically present at the designated facility in Kenya Nairobi for all scheduled shifts and on-call duties. Remote or telemedicine consultations do not constitute fulfillment of the obligations under this Purchase Order unless explicitly authorized in writing by the Director of Clinical Services.

This Purchase Order is valid upon signature by both parties. The Surgeon's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and service-level requirements stated herein. No modification to this Purchase Order shall be valid unless executed in writing and signed by both the Authority's Procurement Officer and the Surgeon or their duly authorized representative.
