3. Description of Purchase – Surgeon Services

This Purchase Order is issued by Shree Himalaya Medical Centre Pvt. Ltd., located in Nepal Kathmandu, for the procurement of specialized Surgeon services to support the hospital's surgical department operations. The selected Surgeon shall provide comprehensive surgical care, including but not limited to general surgical procedures, laparoscopic operations, emergency surgical interventions, and post-operative patient management. This Purchase Order constitutes a binding agreement between the Buyer (Shree Himalaya Medical Centre Pvt. Ltd., Nepal Kathmandu) and the Supplier (the designated Surgeon) for the provision of surgical services as described herein.
The Surgeon shall maintain a valid and active license issued by the Nepal Medical Council throughout the entire duration of this Purchase Order. Any lapse in licensure shall result in immediate termination of this agreement.
The Surgeon is required to report to the surgical ward at Shree Himalaya Medical Centre, Ring Road, Nepal Kathmandu, no later than 07:45 AM on all scheduled working days. Punctuality and consistent attendance are mandatory conditions of this Purchase Order.
All surgical procedures performed under this Purchase Order must adhere to the clinical protocols, infection control standards, and patient safety guidelines established by the Nepal Kathmandu Health Authority and the hospital's internal quality management system.
The Surgeon shall maintain comprehensive and accurate surgical records for every procedure performed, including pre-operative assessments, intra-operative notes, and post-operative follow-up documentation, in compliance with Nepal's medical record-keeping regulations.
Payment shall be processed within thirty (30) calendar days from the date of invoice submission. Invoices must be submitted by the 5th of each month for the preceding month's services rendered under this Purchase Order.
The Buyer reserves the right to conduct periodic performance evaluations of the Surgeon on a quarterly basis. Failure to meet the established competency benchmarks may lead to renegotiation or termination of this Purchase Order with thirty (30) days' written notice.
The Surgeon shall carry professional medical malpractice insurance with a minimum coverage of NPR 10,000,000, valid throughout the term of this Purchase Order. Proof of insurance must be submitted prior to the commencement of services.
This Purchase Order is governed by the laws of the Kingdom of Nepal, and any disputes arising from its interpretation or execution shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act of Nepal.
The Surgeon agrees to maintain strict confidentiality regarding all patient information, hospital operations, and proprietary medical data encountered during the course of services provided under this Purchase Order.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all outstanding payments for services rendered up to the termination date shall be settled within fifteen (15) days.
