3. Purchase Order Scope & Description

This Purchase Order is issued by the Auckland Regional Medical Procurement Authority to Meridian Surgical Solutions Ltd. for the procurement of a qualified Surgeon and associated surgical services to be delivered within the New Zealand Auckland metropolitan region. This Purchase Order governs the engagement of a board-certified Surgeon for a period of twelve (12) months, commencing 1 July 2025, to provide general surgical, orthopaedic, and emergency surgical services at Auckland City Hospital and the North Shore Hospital facilities.

The Surgeon engaged under this Purchase Order must hold a valid New Zealand Medical Council registration, a current specialist registration with the New Zealand Royal College of Surgeons, and a minimum of ten (10) years of post-qualification surgical experience. The Surgeon shall be responsible for performing scheduled and emergency surgical procedures, supervising junior surgical staff, contributing to surgical audit programmes, and maintaining compliance with all New Zealand Health and Disability Commissioner standards applicable to the New Zealand Auckland region.

5. Delivery & Commencement

The Surgeon shall commence duties no later than 1 July 2025 at the primary surgical facility located at Auckland City Hospital, 2 Park Road, Grafton, New Zealand Auckland 1010. All surgical instrumentation and equipment listed in this Purchase Order shall be delivered and installed at the designated theatre no later than 28 June 2025. The Supplier is responsible for all logistics, customs clearance (where applicable for imported instruments), and compliance with New Zealand Auckland regional health and safety regulations.

6. Payment Terms

  • Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier, in accordance with the New Zealand Public Finance Act 1989.
  • The Surgeon's professional fee (Item 01) shall be paid monthly in arrears via direct bank transfer to the account nominated by the Surgeon.
  • One-off items (Items 02, 03, 04, 05, 07) shall be invoiced upon completion of the respective service or delivery and paid within the standard 30-day window.
  • Emergency call-out fees (Item 06) shall be invoiced quarterly, with a detailed log of each call-out attached.
  • All amounts are quoted in New Zealand Dollars (NZD) and are inclusive of any applicable New Zealand Auckland regional levies.
  • Late payment shall attract interest at the rate prescribed under the New Zealand Late Payment of Debts Regulations 2012.

7. Terms & Conditions

  • This Purchase Order is governed by the laws of New Zealand and the New Zealand Auckland regional health authority regulations.
  • The Surgeon shall maintain a valid New Zealand Medical Council registration throughout the term of this Purchase Order. Lapse of registration shall constitute immediate grounds for termination.
  • The Surgeon shall comply with all New Zealand Health and Disability Commissioner (HDC) guidelines, the New Zealand Code of Health and Disability Services Consumers' Rights, and all applicable New Zealand Auckland hospital bylaws.
  • The Supplier warrants that the Surgeon engaged under this Purchase Order possesses all qualifications, registrations, and competencies as described herein. Any misrepresentation shall render this Purchase Order void at the Buyer's discretion.
  • Confidentiality: All patient records, surgical outcomes, and operational data accessed by the Surgeon in the course of this Purchase Order shall be treated as strictly confidential under the New Zealand Privacy Act 2020.
  • Termination: Either party may terminate this Purchase Order with ninety (90) days' written notice. The Buyer may terminate immediately for material breach, loss of Surgeon registration, or gross negligence.
  • Dispute resolution: Any dispute arising from this Purchase Order shall first be subject to mediation under the New Zealand Disputes Standards. Failing resolution, the matter shall be referred to the District Court of New Zealand Auckland.
  • This Purchase Order does not create an employment relationship. The Surgeon is engaged as an independent contractor through the Supplier.
Note: This Purchase Order has been reviewed and approved in accordance with the New Zealand Auckland regional procurement policy (ARMPA-PP-2024-003). The Surgeon's engagement has been assessed for value-for-money in compliance with the New Zealand Government Procurement Rules. All parties acknowledge that this document constitutes a binding Purchase Order upon execution by both authorised signatories.
