This Purchase Order is issued by the Lagos Metropolitan Health Services Consortium Ltd. to formally engage the services of a qualified Surgeon for a period of twelve (12) months, commencing 1 July 2025 and concluding 30 June 2026. The Surgeon shall provide comprehensive surgical care, consultation, and operative procedures at the designated medical facility located in Nigeria Lagos, specifically at the Lagos Metropolitan General Hospital, Yaba District.   1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Surgeon for the provision of surgical services in Nigeria Lagos. All terms herein shall be governed by the laws of the Federal Republic of Nigeria.
  2. The Surgeon shall maintain valid registration with the Medical and Dental Council of Nigeria (MDCN) and shall provide proof of professional indemnity insurance with a minimum coverage of NGN 50,000,000 for the duration of this Purchase Order.
  3. Payment shall be made in monthly installments within fourteen (14) calendar days of receipt of an itemized invoice. All payments shall be processed in Nigerian Naira (NGN) via bank transfer to the Surgeon's designated account.
  4. The Surgeon is required to be physically present at the Nigeria Lagos facility no fewer than five (5) days per week, from 08:00 to 18:00, with additional on-call availability as specified in Item 05 above.
  5. Any surgical procedure exceeding the standard scope outlined in this Purchase Order shall require prior written approval from the Chief Medical Officer of the Lagos Metropolitan Health Services Consortium Ltd. and a supplementary Purchase Order amendment.
  6. The Surgeon shall comply with all data protection regulations as stipulated by the Nigeria Data Protection Act (NDPA) 2023, ensuring the confidentiality and security of all patient records generated in Nigeria Lagos.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all completed services shall be invoiced and settled within twenty-one (21) days.
  8. All disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), with the seat of arbitration in Nigeria Lagos.
  9. The Surgeon shall submit a comprehensive monthly activity report to the Purchasing Entity by the 5th of each month, detailing all procedures performed, patient outcomes, and any complications encountered during the reporting period in Nigeria Lagos.

By signing below, both parties acknowledge that this Purchase Order has been reviewed, understood, and accepted in its entirety. The Surgeon confirms availability and willingness to render the specified surgical services in Nigeria Lagos for the duration stated herein.
