1. PURPOSE OF THIS PURCHASE ORDERThis Purchase Order is issued by Sandton Metropolitan Medical Centre, a registered healthcare facility operating in South Africa Johannesburg, to formally procure the professional surgical services of a qualified Consultant Surgeon. The purpose of this Purchase Order is to establish the contractual terms, financial obligations, and operational parameters governing the engagement of the Surgeon for a defined period of surgical procedures, consultations, and on-call availability at the facility located in the Johannesburg metropolitan area, South Africa. This document constitutes a binding procurement instrument in accordance with the South African National Treasury Regulations and the facility's internal procurement policy.
2. SCOPE OF SURGEON SERVICESThe Surgeon engaged under this Purchase Order shall provide the following professional services at the Sandton Metropolitan Medical Centre in South Africa Johannesburg:

- Qualification and Registration: The Surgeon must hold a valid Medical Council of South Africa (MCSA) registration and a current SAHPRA (South African Health Professions Council) practising certificate. The Surgeon must be a registered member of the College of Surgeons of South Africa (COSSA) in good standing. All credentials must be verified prior to the commencement of services under this Purchase Order.
- Place of Performance: All services rendered under this Purchase Order shall be performed exclusively at the Sandton Metropolitan Medical Centre, located in the Sandton business district of Johannesburg, South Africa, or at such other approved facility within the Johannesburg metropolitan area as mutually agreed in writing.
- Payment Terms: Payment for services rendered by the Surgeon shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Payment shall be processed via electronic funds transfer (EFT) to the bank account nominated by the Surgeon. All amounts are denominated in South African Rand (ZAR).
- Insurance and Indemnity: The Surgeon shall maintain a minimum professional indemnity insurance cover of R 5,000,000.00 per claim throughout the duration of this Purchase Order. The Surgeon shall indemnify the facility against any claims arising from negligence or malpractice in the performance of surgical duties.
- Compliance with South African Law: This Purchase Order and all services rendered hereunder shall comply with the Health Professions Act (Act No. 56 of 1974), the National Health Act (Act No. 61 of 2003), the Consumer Protection Act (Act No. 68 of 2008), and all applicable regulations of the South African Health Products Regulatory Authority (SAHPRA) as applicable to the Johannesburg, South Africa jurisdiction.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, surgical outcomes, and proprietary operational information of the facility in accordance with the Protection of Personal Information Act (POPIA, Act No. 4 of 2013) of South Africa.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The facility may terminate immediately in the event of the Surgeon's registration being suspended, revoked, or if the Surgeon commits a material breach of these terms.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to acts of God, government directives, or public health emergencies affecting the Johannesburg, South Africa region.
The Surgeon shall commence services on 1 July 2025 and shall continue to provide services in accordance with the schedule outlined in this Purchase Order for a period of twelve (12) months, concluding on 30 June 2026. The Surgeon shall be available for scheduled surgical procedures on Monday through Friday between 07:00 and 17:00, and shall respond to emergency surgical calls within sixty (60) minutes of notification. The Surgeon shall submit monthly activity reports to the facility's Medical Director detailing all procedures performed, patient outcomes, and any adverse events encountered during the performance of duties in South Africa Johannesburg.
