All monetary values stated in this Purchase Order are denominated in Sudanese Pounds (SDG) and are subject to the prevailing exchange rates as determined by the Central Bank of Sudan at the time of disbursement.
- The Surgeon shall comply with all regulations, protocols, and ethical standards established by the Ministry of Health of the Republic of Sudan and the Sudanese Medical Specialization Board throughout the duration of this Purchase Order.
- Payment under this Purchase Order shall be made on a monthly basis, within fifteen (15) business days following the submission of a verified timesheet and service confirmation by the Head of the Surgery Department at the hospital in Sudan Khartoum.
- The Surgeon is required to maintain valid professional indemnity insurance coverage with a minimum liability of five million Sudanese Pounds (SDG 5,000,000) for the entire contractual period. Proof of insurance must be submitted prior to the commencement of services.
- Any modification, extension, or termination of this Purchase Order must be executed in writing and signed by both the authorized representative of the Buyer and the Surgeon. Verbal agreements shall hold no legal standing under this Purchase Order.
- The Surgeon shall not subcontract or delegate any portion of the surgical services outlined in this Purchase Order to any third party without prior written consent from the Director of Medical Affairs.
- All patient records, surgical reports, and clinical data generated in the course of services under this Purchase Order shall remain the exclusive property of Khartoum Central Teaching Hospital and shall be stored in accordance with Sudanese data protection regulations.
- In the event of force majeure, including but not limited to civil unrest, natural disasters, or government-mandated closures affecting operations in Sudan Khartoum, either party may suspend obligations under this Purchase Order without penalty, provided written notice is given within seventy-two (72) hours of the event.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising from this Purchase Order shall be resolved through the Sudanese Arbitration Centre in Sudan Khartoum.
The Surgeon engaged under this Purchase Order shall adhere to internationally recognized surgical standards as adapted to the clinical context of Sudan Khartoum. Performance will be evaluated on a quarterly basis by a multidisciplinary review panel comprising the Chief of Surgery, the Hospital Quality Assurance Officer, and a representative from the Ministry of Health. Failure to meet the minimum performance thresholds outlined in the attached Service Level Agreement (SLA) may result in a formal notice of deficiency, a thirty-day remediation period, or, in cases of persistent non-compliance, termination of this Purchase Order with or without compensation as determined by the governing arbitration clause.
