This Purchase Order is issued by Kantonsspital Zürich to formally engage the services of Dr. Lukas Brandt, a licensed and board-certified Surgeon, for the provision of specialized surgical procedures and related clinical services within the canton of Switzerland Zurich. This Purchase Order governs the terms, conditions, compensation structure, and operational parameters under which the Surgeon shall perform contracted surgical interventions at the designated hospital facilities in Switzerland Zurich during the third quarter of 2025.

The engagement of the Surgeon under this Purchase Order is subject to compliance with all applicable Swiss federal and cantonal medical regulations, including but not limited to the Swiss Medical Act (HMG), the cantonal medical regulations of the Canton of Zurich, and the professional standards set forth by the Swiss Medical Association (FMH). The Surgeon shall maintain all necessary professional licenses, malpractice insurance, and certifications throughout the duration of this Purchase Order.

All amounts stated in this Purchase Order are in Swiss Francs (CHF) and are exclusive of applicable value-added tax (VAT). VAT at the standard Swiss rate of 8.1% shall be added to the total, bringing the gross amount to CHF 160,852.80. The Surgeon shall issue a compliant Swiss VAT invoice in accordance with the Federal Act on Value Added Tax (VATG) for each billing cycle.

4.1 Delivery and Performance: The Surgeon shall perform all surgical procedures and clinical services listed in this Purchase Order at the Kantonsspital Zürich facility located in Switzerland Zurich, or at such other approved medical facility within the canton of Zurich as mutually agreed upon in writing. All services shall be rendered in accordance with the highest standards of surgical practice and patient safety as defined by the Swiss Society of Surgery (SSCh).

4.2 Payment Terms: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Surgeon. Payment shall be processed via bank transfer to the account designated by the Surgeon. Late payments shall incur interest at the statutory Swiss rate as defined by the Swiss Code of Obligations (OR).

4.3 Cancellation and Modification: Either party may cancel or modify this Purchase Order with a written notice of at least fourteen (14) calendar days. In the event of cancellation by the Buyer, the Surgeon shall be compensated for all services already rendered and for any non-recoverable costs incurred in preparation for scheduled procedures in Switzerland Zurich.

4.4 Confidentiality and Data Protection: The Surgeon shall comply with all provisions of the Swiss Federal Act on Data Protection (revFADP) and the hospital's internal data governance policies. All patient records, surgical reports, and clinical data generated in connection with this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the explicit written consent of the patient and the Buyer.

4.5 Liability and Insurance: The Surgeon shall maintain professional liability insurance with a minimum coverage of CHF 5,000,000 per claim throughout the term of this Purchase Order. The Surgeon shall provide a certificate of insurance upon request. The Buyer shall not be held liable for any surgical complications arising from the Surgeon's professional judgment, provided that the Surgeon has adhered to the accepted standard of care in Switzerland Zurich.

4.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Switzerland Zurich.

This Purchase Order becomes effective upon signature by both parties. The Surgeon acknowledges receipt of this Purchase Order and agrees to the terms, conditions, and service specifications outlined herein. By signing below, the Surgeon confirms that all professional qualifications, licenses, and insurance requirements for the practice of surgery in Switzerland Zurich are current and valid.
