This Purchase Order is issued by Chulalongkorn Medical Group Co., Ltd. (hereinafter referred to as the "Buyer") to procure the professional surgical services of Dr. Anan Sirivadhanakul (hereinafter referred to as the "Surgeon") for a defined period of engagement at the Buyer's primary surgical facility located in Thailand Bangkok. The Surgeon shall provide general surgical, laparoscopic, and emergency surgical services in accordance with the scope of practice defined herein and in compliance with all regulations set forth by the Medical Council of Thailand and the Ministry of Public Health.

The Surgeon shall render all surgical services exclusively at the Buyer's designated facility located at 1010 Phetchaburi Road, Pathum Wan, Thailand Bangkok, unless prior written authorization is granted for satellite clinics within the Bangkok metropolitan area. The Surgeon is required to maintain a valid medical license issued by the Medical Council of Thailand and to comply with all operational protocols, infection control standards, and patient safety guidelines established by the facility. All surgical procedures performed under this Purchase Order must be documented in the hospital's electronic medical record system and reported to the relevant regulatory authorities in Thailand Bangkok as mandated by law.
4. TERMS AND CONDITIONS- Engagement Period: This Purchase Order covers a twelve (12) month engagement commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 4.7.
- Payment Schedule: Monthly invoices shall be submitted by the Surgeon on or before the 5th of each month. Payment shall be processed via bank transfer within thirty (30) calendar days of invoice receipt. All payments shall be made in Thai Baht (THB) to the account designated by the Surgeon.
- Compliance with Thai Law: The Surgeon warrants that all services rendered under this Purchase Order shall comply with the Medical Profession Act B.E. 2525 (1982), the Hospital Act, and all applicable regulations of the Ministry of Public Health in Thailand Bangkok. The Surgeon shall maintain professional liability insurance with a minimum coverage of THB 5,000,000 per claim.
- Confidentiality: The Surgeon shall maintain strict confidentiality regarding all patient records, proprietary surgical techniques, and operational information of the Buyer in accordance with the Personal Data Protection Act B.E. 2562 (2019) of Thailand.
- Performance Standards: The Surgeon shall adhere to the facility's quality assurance protocols, including but not limited to pre-operative assessment, intra-operative documentation, and post-operative follow-up within 48 hours. Failure to meet performance benchmarks for two consecutive months shall constitute grounds for review of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Thailand Bangkok.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. The Buyer may terminate immediately for material breach, loss of medical license, or criminal conviction. Upon termination, all outstanding invoices for services rendered shall be settled within 30 days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising hereunder shall be resolved through arbitration in Bangkok under the rules of the Thai Arbitration Institute.
- Non-Exclusivity: Nothing in this Purchase Order shall prevent the Surgeon from providing services to other medical facilities in Thailand Bangkok, provided that such engagements do not conflict with the scheduled duties outlined herein.
The Surgeon shall report to the surgical department at the Buyer's facility in Thailand Bangkok no later than 07:00 hours on 1 July 2025 for orientation, credentialing verification, and system access provisioning. The Buyer shall provide the Surgeon with access to all necessary operating theatres, surgical instruments, anesthetic support, and nursing staff required to perform the services described in this Purchase Order.
