This Purchase Order is issued by Birmingham Metropolitan Health Trust to formally procure the professional services of a qualified Surgeon for the provision of specialist surgical procedures, operative consultations, and related clinical services at the Trust's primary surgical facility located in Birmingham, United Kingdom. This Purchase Order governs the engagement terms, scope of surgical practice, compensation structure, and all associated obligations between the parties for the duration of the contracted period.

The Surgeon engaged pursuant to this Purchase Order must satisfy the following mandatory criteria prior to commencing duties at the Birmingham facility:
- Full and unconditional registration with the General Medical Council (GMC) of the United Kingdom, with a current licence to practise.
- Membership of the Royal College of Surgeons (RCS) of England, Wales, or Northern Ireland, or the Royal College of Surgeons of Edinburgh, with a minimum of ten (10) years of post-qualification surgical experience.
- Valid and current indemnity insurance coverage through the Medical Defence Union (MDU) or the Medical Protection Society (MPS), with a minimum cover of £10,000,000 per claim.
- Completion of a Criminal Records Bureau (CRB) / Disclosure and Barring Service (DBS) enhanced check, as required for all clinical staff operating within the Birmingham, United Kingdom healthcare sector.
- Compliance with all NHS England and West Midlands Combined Authority (WMCA) regulatory standards for surgical practice.
- Valid right-to-work documentation in the United Kingdom, verified in accordance with Home Office guidelines.
- Payment Schedule: All payments under this Purchase Order shall be made on a monthly basis in arrears, within thirty (30) calendar days of receipt of a valid invoice from Meridian Surgical Associates Ltd. Invoices must reference this Purchase Order number (PO-BHM-2025-004872) and be submitted to the accounts payable department at Birmingham Metropolitan Health Trust.
- Payment Method: Payments shall be processed via BACS bank transfer to the supplier's designated UK bank account. No cash payments or cheques shall be accepted under this Purchase Order.
- Withholding Rights: The Trust reserves the right to withhold payment for any services not rendered to the standard specified in this Purchase Order, or where the Surgeon fails to meet the clinical governance requirements of the Birmingham facility.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of England and Wales. The parties agree to attempt mediation through the West Midlands Commercial Mediation Service before initiating legal proceedings in the courts of Birmingham, United Kingdom.
This Purchase Order shall take effect on 14 June 2025 and shall remain in force for a period of twelve (12) months, expiring on 13 June 2026, unless renewed in writing by both parties no later than sixty (60) days prior to the expiry date. Either party may terminate this Purchase Order with ninety (90) days' written notice. In the event of serious clinical negligence, loss of GMC registration, or material breach of the terms set forth herein, the Trust may terminate this Purchase Order immediately without notice. Upon termination, the Surgeon shall complete all in-progress surgical cases at the Birmingham facility and hand over all patient records in accordance with NHS data protection and confidentiality protocols.
All patient information, clinical records, and operational data accessed by the Surgeon in the course of duties under this Purchase Order at the Birmingham, United Kingdom facility shall be treated as strictly confidential. The Surgeon and Meridian Surgical Associates Ltd. shall comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. No patient-identifiable information shall be removed from the premises of the Birmingham Metropolitan Health Trust without the express written consent of the Trust's Data Protection Officer.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of a Surgeon at the Birmingham, United Kingdom facility. This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
