1. Description of Purchase Order ScopeThis Purchase Order is issued by Manchester Royal Surgical Centre, located in United Kingdom Manchester, to formally procure the professional surgical services of Dr. Eleanor Whitfield, a registered Consultant Surgeon, along with the associated surgical instruments, consumables, and ancillary equipment required to deliver the contracted surgical procedures. 3.1 This Purchase Order constitutes a binding agreement between Manchester Royal Surgical Centre (hereinafter "the Purchaser") and Dr. Eleanor Whitfield, Consultant Surgeon (hereinafter "the Surgeon"), for the provision of surgical services and associated equipment as detailed in Section 2 above.
3.2 The Surgeon shall perform all surgical procedures in accordance with the highest professional standards as defined by the General Medical Council and the Royal College of Surgeons of England. All services shall be delivered at the Purchaser's facility located in United Kingdom Manchester, or at such other approved location within the Manchester metropolitan area as mutually agreed in writing.
3.3 The Surgeon warrants that all surgical instruments, implants, and consumables supplied under this Purchase Order shall be new, CE-marked (or UKCA-marked where applicable), and fully compliant with the Medical Devices Regulations 2002 as amended, and all relevant United Kingdom health and safety legislation.
3.4 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Surgeon. Invoices must reference this Purchase Order number (UK-MAN-2025-SRG-04782) and shall be submitted to the Procurement Department at Manchester Royal Surgical Centre, United Kingdom Manchester.
3.5 The Surgeon shall maintain adequate professional indemnity insurance with a minimum cover of £10,000,000 per claim throughout the duration of this Purchase Order. Evidence of insurance shall be provided prior to the commencement of services.
3.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall be liable for all services rendered and equipment supplied up to the date of termination.
3.7 All patient data handled by the Surgeon under this Purchase Order shall be processed in full compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Surgeon shall not transfer any patient records outside the United Kingdom without explicit written consent from the Purchaser.
3.8 This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester.
3.9 The Surgeon shall attend a minimum of two (2) multidisciplinary team meetings per month at the Manchester Royal Surgical Centre to discuss complex cases, surgical outcomes, and quality improvement initiatives.
3.10 No amendment, variation, or supplement to this Purchase Order shall be valid unless made in writing and signed by both the authorised representative of the Purchaser and the Surgeon.
4. Acceptance and AuthorisationBy signing below, both parties acknowledge and agree to all terms, conditions, and line items set forth in this Purchase Order. The Surgeon confirms availability to commence services on or before 1 July 2025 at the designated facility in United Kingdom Manchester.
