2. Scope of Purchase Order — Surgeon Services

This Purchase Order is issued by the Tashkent Regional Medical Procurement Authority to formally engage the services of a qualified Surgeon for the provision of surgical and related medical services within the Tashkent metropolitan area, Uzbekistan. The Surgeon engaged under this Purchase Order shall perform duties in accordance with the standards established by the Ministry of Health of the Republic of Uzbekistan and the Tashkent City Health Department. The scope of work includes, but is not limited to, the following:

All prices are stated in Uzbekistan Som (UZS) and are inclusive of applicable value-added tax (VAT) at the current rate of 12% as mandated by the Tax Code of the Republic of Uzbekistan. No additional charges shall be levied beyond the amounts specified in this Purchase Order without prior written amendment signed by both parties.

3. Terms and Conditions
  1. Engagement Period: The Surgeon shall render services under this Purchase Order for a continuous period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 8.
  2. Work Location: All surgical and clinical services shall be performed at the Tashkent City General Hospital, located at 10 Chimgan Street, Tashkent, Uzbekistan, or at such other approved medical facility within Tashkent as designated by the Buyer in writing.
  3. Licensing and Compliance: The Surgeon must maintain a valid medical practice license issued by the Ministry of Health of Uzbekistan throughout the duration of this Purchase Order. The Surgeon shall comply with all regulations of the Tashkent City Health Department, including infection control protocols, patient record-keeping standards, and ethical guidelines for surgical practice in Uzbekistan.
  4. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of the Surgeon submitting a detailed service report and corresponding invoice to the Buyer. Payment shall be processed via bank transfer to the account designated by the Surgeon. The Buyer reserves the right to withhold payment for any services not rendered to the standard specified in this Purchase Order.
  5. Insurance and Liability: The Surgeon shall maintain professional medical malpractice insurance with a minimum coverage of 500,000,000 UZS per claim, issued by a licensed insurance company operating in Uzbekistan. A certificate of insurance shall be provided to the Buyer prior to the commencement of services.
  6. Confidentiality: The Surgeon shall treat all patient information, medical records, and operational data of the Buyer as strictly confidential in accordance with the Law of the Republic of Uzbekistan on Personal Data Protection. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Quality Assurance: The Surgeon shall participate in quarterly performance reviews conducted by the Tashkent Regional Medical Procurement Authority. Surgical outcomes, complication rates, and patient satisfaction metrics shall be assessed against benchmarks established for surgical practice in Tashkent, Uzbekistan.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Buyer may terminate immediately in the event of material breach, loss of medical license, or gross negligence by the Surgeon. Upon termination, all completed services shall be settled within thirty (30) days.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Tashkent, Uzbekistan.
  10. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by the authorized representatives of both parties.
4. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Surgeon in Tashkent, Uzbekistan. This Purchase Order constitutes a binding agreement between the parties upon execution.
