The Systems Engineer personnel engaged under this Purchase Order shall perform the following duties within the China Shanghai operational environment:
- Design, implement, and maintain the Purchaser's enterprise IT infrastructure, including LAN/WAN networks, server farms, storage systems, and virtualization platforms located in the Shanghai Pudong and Jing'an office facilities.
- Develop and execute comprehensive system architecture plans aligned with the Purchaser's five-year digital transformation roadmap for its China Shanghai operations.
- Perform routine and emergency maintenance on all hardware and software systems, ensuring 99.9% uptime across all China Shanghai data centers and office networks.
- Manage cloud infrastructure transitions, including migration to Alibaba Cloud and Huawei Cloud platforms, ensuring compliance with China's data residency and cross-border data transfer regulations.
- Conduct regular security assessments, vulnerability scans, and penetration testing in accordance with the Cybersecurity Law of the People's Republic of China and the Multi-Level Protection Scheme (MLPS 2.0).
- Prepare detailed technical documentation, system diagrams, and operational runbooks in both English and Mandarin Chinese for all systems managed in China Shanghai.
- Coordinate with local Chinese regulatory bodies, including the Cyberspace Administration of China (CAC), to ensure full compliance of all IT systems operated in the Shanghai region.
- Provide on-site technical support during business hours (Monday through Friday, 08:30–17:30 CST) and on-call emergency response for critical system failures affecting China Shanghai operations.
All services rendered under this Purchase Order shall be performed exclusively within the China Shanghai administrative boundary. The primary work location shall be the Purchaser's headquarters at 88 Pudong Avenue, Lujiazui, Shanghai. Secondary work locations include the Jing'an District office at 1200 Nanjing West Road and the Minhang District research facility at 500 Huaxia Middle Road. The Systems Engineer team shall be physically present at these China Shanghai locations for a minimum of five (5) working days per week, with remote work permitted only for non-critical documentation tasks and subject to prior written approval by the Purchaser.
- Payment Currency: Renminbi (CNY / RMB)
- Payment Schedule: 30% advance payment upon execution of this Purchase Order; 40% upon successful completion of the first three (3) months of service delivery; 30% upon final acceptance and completion of the full contract term.
- Payment Method: Bank transfer to the Supplier's designated account at Industrial and Commercial Bank of China (ICBC), Shanghai Branch. Account No.: 1001 2345 6789 0123 456.
- Payment Due Date: Within fifteen (15) calendar days of receipt of a valid invoice from the Supplier.
- Tax: All amounts are inclusive of 6% Value Added Tax (VAT) as applicable under Chinese tax law. The Supplier shall issue a compliant VAT invoice (fapiao) for each payment.
- Late Payment Penalty: A penalty of 0.05% per calendar day shall apply to any overdue payment, in accordance with the Civil Code of the People's Republic of China.
This Purchase Order shall be effective from July 1, 2025, through June 30, 2026, for a total duration of twelve (12) months. Either party may terminate this agreement with sixty (60) days' prior written notice. In the event of termination, the Systems Engineer personnel shall complete all in-progress tasks and deliver a comprehensive handover report to the Purchaser within the notice period. All intellectual property developed specifically for the Purchaser during the engagement in China Shanghai shall remain the sole property of the Purchaser.
- This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, including the Civil Code, the Labor Contract Law, and applicable Shanghai municipal regulations.
- The Supplier warrants that all Systems Engineer personnel assigned under this Purchase Order hold valid work permits and residence permits for employment in China Shanghai, as required by the Ministry of Human Resources and Social Security.
- All data processed by the Systems Engineer team shall comply with the Personal Information Protection Law (PIPL) of the PRC and the Data Security Law of the PRC. No personal data of Chinese citizens shall be transferred outside of China without explicit regulatory approval.
- Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in accordance with its arbitration rules. The seat of arbitration shall be Shanghai, China.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Systems Engineer services in China Shanghai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
