This Purchase Order is issued by TechnoVista Solutions GmbH (hereinafter referred to as the "Buyer") to EngiCore Consulting UG (hereinafter referred to as the "Supplier") for the provision of professional Systems Engineer services. The Systems Engineer shall be engaged to design, architect, implement, and maintain enterprise-grade IT infrastructure solutions for the Buyer's operations located in Germany Berlin. The scope of work encompasses network architecture design, server provisioning, cloud migration planning, cybersecurity hardening, and ongoing technical support for all systems deployed within the Buyer's premises and data centres in Germany Berlin.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order relating to the Systems Engineer engagement in Germany Berlin shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
2. Place of Performance: All services described in this Purchase Order shall be performed primarily at the Buyer's facilities located in Germany Berlin, with the exception of remote support activities explicitly noted in the line items above. The Systems Engineer is expected to be physically present in Germany Berlin for a minimum of four (4) working days per week unless otherwise agreed in writing.
3. Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate under German commercial law (BGB § 288). All payments shall be made via bank transfer to the Supplier's designated account in Germany Berlin.
4. Confidentiality & Data Protection: The Systems Engineer shall comply with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). All data processed in connection with this Purchase Order while operating in Germany Berlin shall be stored and processed exclusively within the European Economic Area.
5. Intellectual Property: All deliverables, documentation, code, and architectural designs produced by the Systems Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier retains no rights to reuse proprietary solutions developed specifically for the Buyer's Germany Berlin infrastructure.
6. Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach by the Systems Engineer, the Buyer may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
7. Insurance & Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of € 2,000,000 per occurrence, valid throughout the term of this Purchase Order. The Supplier's aggregate liability under this Purchase Order shall not exceed the total Purchase Order value of € 164,934.00.
8. Compliance: The Systems Engineer shall comply with all applicable German labour regulations, occupational health and safety standards, and IT security frameworks (including BSI IT-Grundschutz) while performing duties in Germany Berlin.
9. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Systems Engineer's scope, compensation, or working conditions in Germany Berlin shall have no legal effect.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Systems Engineer services to be delivered in Germany Berlin. This document constitutes a binding commercial agreement effective from the date of the last signature.
