This Purchase Order is issued by TechNova Solutions Pvt. Ltd. to Apex Engineering Services LLP for the procurement of specialized professional services rendered by a qualified Systems Engineer. The engagement is specifically scoped for deployment and operational support within the India Mumbai metropolitan region, encompassing all client sites, data centers, and remote infrastructure nodes located within the Mumbai Metropolitan Region (MMR) and its immediate suburbs including Navi Mumbai, Thane, and Kalyan-Dombivli.
The Systems Engineer shall be responsible for the design, implementation, configuration, monitoring, and maintenance of enterprise-grade IT infrastructure systems. This includes but is not limited to server architecture, network topology, cloud hybrid environments, cybersecurity frameworks, and automated deployment pipelines. The Systems Engineer must possess a minimum of eight (8) years of progressive experience in enterprise systems engineering, with demonstrated expertise in Linux/Unix environments, Microsoft Azure and AWS cloud platforms, and enterprise network security protocols.

All services under this Purchase Order shall be performed at the designated client premises and data center locations within India Mumbai. The primary work location shall be the TechNova Solutions office at Bandra Kurla Complex (BKC), with secondary sites at the Navi Mumbai data center (Plot 42, MIDC, Turbhe) and the Thane branch office. The Systems Engineer is expected to be physically present at the BKC site a minimum of four (4) days per week, with the remaining day allocated for remote support and on-call duties covering the broader India Mumbai operational footprint.
- Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the Supplier, subject to satisfactory completion of the monthly service deliverables as outlined in the Statement of Work (SOW) annexed to this Purchase Order.
- Payment shall be processed via NEFT/RTGS to the Supplier's designated bank account: Apex Engineering Services LLP, HDFC Bank, Fort Branch, India Mumbai, A/C No: 50200048XXXXXXX, IFSC: HDFC0000123.
- A retention of five percent (5%) shall be withheld from each monthly invoice and released upon successful completion of the final month of the engagement, subject to a final acceptance certificate.
- All amounts are inclusive of applicable taxes as per the Goods and Services Tax (GST) Act, 2017, as applicable in the state of Maharashtra, India Mumbai jurisdiction.
- Any additional services beyond the scope defined in this Purchase Order shall require a written change order signed by both parties before execution.
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by the laws of the Republic of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai.
- The Systems Engineer assigned to this engagement shall be an employee or authorized contractor of the Supplier and shall not be deemed an employee or agent of the Buyer. The Supplier shall be solely responsible for all statutory compliances including but not limited to Provident Fund (PF), Employee State Insurance (ESI), Professional Tax (Maharashtra), and any other applicable labor laws in India Mumbai.
- The Systems Engineer shall adhere to all confidentiality and data protection obligations as per the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023. All client data accessed during the engagement shall remain the exclusive property of the Buyer.
- The Supplier warrants that the Systems Engineer shall possess all necessary certifications, clearances, and competencies to perform the services. Any breach of service-level agreements (SLAs) shall entitle the Buyer to withhold payment or terminate this Purchase Order with a written notice of fourteen (14) days.
- The Supplier shall maintain adequate professional indemnity and liability insurance coverage for the duration of this Purchase Order, with a minimum coverage of INR 50,000,000 (Fifty Crore Rupees).
- Force majeure events, including but not limited to natural disasters, government-mandated lockdowns, or civil unrest affecting the India Mumbai region, shall temporarily suspend obligations under this Purchase Order without penalty to either party, provided written notice is given within forty-eight (48) hours.
- This Purchase Order shall remain in effect for a period of twelve (12) months from the date of issue, unless terminated earlier in accordance with the termination clauses herein. Renewal shall be subject to mutual written agreement at least sixty (60) days prior to expiry.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Systems Engineer in the India Mumbai region. This document, together with the attached Statement of Work and SLA matrix, forms the complete and exclusive agreement between the parties with respect to the subject matter hereof.
