This Purchase Order is issued by Meridian Technology Solutions Pvt. Ltd. for the procurement of professional Systems Engineer services to be deployed at our primary data center and operations facility located in India New Delhi. The engagement is intended to support the design, implementation, monitoring, and maintenance of enterprise-grade IT infrastructure systems, including server clusters, network architecture, cloud hybrid environments, and disaster recovery frameworks.

The Systems Engineer shall be responsible for ensuring the continuous availability, performance optimization, and security hardening of all critical systems operating within the India New Delhi premises. This includes but is not limited to: provisioning and configuration of Linux and Windows server environments, managing virtualization platforms (VMware, Hyper-V), overseeing storage area networks (SAN/NAS), implementing automated monitoring and alerting systems, conducting regular capacity planning, and providing Level 3 technical support for all infrastructure-related incidents.

This Purchase Order is governed by the laws of the Republic of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
The vendor shall ensure that the Systems Engineer personnel assigned to this engagement possess a minimum of 5 years of relevant experience in enterprise IT infrastructure, hold valid certifications (such as CCNA, RHCE, AWS Solutions Architect, or equivalent), and have a proven track record in managing large-scale server and network environments.
All Systems Engineer personnel shall be physically present at the client's facility in India New Delhi during standard working hours (09:00 AM to 06:00 PM, Monday to Saturday) unless otherwise agreed in writing. Remote work arrangements require prior written approval from the client's IT Director.
The vendor shall comply with all applicable Indian labor laws, including the Payment of Wages Act, the Employees' Provident Funds Act, the Employees' State Insurance Act, and the Professional, Technical, and Other Employees (POSH) Act. All statutory deductions shall be reflected in the monthly invoices.
Confidentiality: The Systems Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All data, system credentials, network topologies, and operational procedures encountered at the India New Delhi site are classified as proprietary and confidential information of Meridian Technology Solutions Pvt. Ltd.
Service Level Agreement (SLA): The vendor guarantees a maximum response time of 30 minutes for critical infrastructure incidents and 4 hours for non-critical issues. Failure to meet SLA targets for three consecutive months shall entitle the client to a 5% penalty on the monthly invoice.
Payment shall be made via NEFT/RTGS to the vendor's designated bank account within 30 days of receipt of a valid GST-compliant invoice. Late payments shall attract interest at 1.5% per month.
The client reserves the right to terminate this Purchase Order with 30 days' written notice in the event of persistent underperformance, breach of confidentiality, or non-compliance with the terms outlined herein.
Any amendments to this Purchase Order must be documented in a written addendum signed by authorized representatives of both parties. Verbal modifications shall not be binding.
The vendor shall provide a monthly performance report detailing the activities of the Systems Engineer, incidents resolved, system uptime metrics, and any recommended infrastructure improvements for the India New Delhi operations.

The vendor shall ensure that the Systems Engineer personnel are fully onboarded, have completed all security clearances, and are operational at the India New Delhi site no later than 01 August 2025. A detailed onboarding plan, including access provisioning, system familiarization, and shadowing with existing IT staff, shall be submitted to the client at least 10 business days prior to the commencement date.

This Purchase Order is issued and authorized by the undersigned on behalf of Meridian Technology Solutions Pvt. Ltd. The vendor's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications outlined in this document.
