This Purchase Order is issued by the Tehran Metropolitan Infrastructure & Technology Authority (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Systems Engineer for deployment and operational support within the Iran Tehran metropolitan region. The Supplier acknowledges receipt of this Purchase Order and agrees to furnish the specified Systems Engineer services in full compliance with the terms, conditions, and technical specifications outlined herein.

The Buyer requires the engagement of a senior Systems Engineer to provide comprehensive infrastructure design, integration, and maintenance services for the Tehran Metropolitan Transit Authority's next-generation traffic management and public transportation coordination systems. The Systems Engineer shall be physically stationed in Iran Tehran at the TMITA headquarters located on Valiasr Street for the duration of the contract period.

The scope of work for the Systems Engineer includes, but is not limited to, the following deliverables:

• Design and architecture of a unified real-time traffic monitoring and control system covering all major arterial roads and metro interchange stations in the Iran Tehran metropolitan area.
• Integration of existing legacy SCADA systems with newly procured IoT sensor networks deployed across 240 traffic intersections in Tehran.
• Development of a centralized data analytics platform capable of processing over 50,000 data points per minute from distributed sensors across Iran Tehran.
• Provision of on-site technical support, system troubleshooting, and performance optimization for a minimum of 12 months from the date of commissioning.
• Preparation of comprehensive technical documentation, including system architecture diagrams, API specifications, and operational runbooks, to be delivered in both English and Persian (Farsi).
• Conduct of training sessions for a minimum of 15 TMITA staff members on the operation, monitoring, and basic maintenance of the deployed systems.

1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
2. Performance Period: The Systems Engineer shall commence on-site work in Iran Tehran no later than 01 August 2025 and shall complete all primary deliverables by 31 July 2026. The post-commissioning warranty period shall extend through 31 January 2027.
3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon successful commissioning and acceptance of the integrated system in Iran Tehran, and 30% upon completion of the warranty period. All payments shall be made via irrevocable letter of credit issued by a bank acceptable to both parties.
4. Compliance with Local Law: The Supplier and the assigned Systems Engineer shall comply with all applicable laws, regulations, and labor codes of the Islamic Republic of Iran, including but not limited to work permit requirements, visa regulations, and data sovereignty provisions applicable to the Iran Tehran jurisdiction.
5. Confidentiality: All technical data, system architectures, and operational information pertaining to the Tehran Metropolitan Transit Authority shall be treated as strictly confidential. The Systems Engineer shall execute a non-disclosure agreement prior to commencing work in Iran Tehran.
6. Intellectual Property: All work product, designs, code, and documentation created specifically for the Buyer under this Purchase Order shall be the sole property of TMITA. The Supplier retains no rights to reuse, reproduce, or distribute such materials without prior written consent.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party. In the event of termination, the Supplier shall be compensated for all work completed and accepted up to the date of termination.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be Tehran, Iran. The language of arbitration shall be English.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Iran Tehran region.

The Systems Engineer assigned to fulfill the obligations under this Purchase Order must meet the following minimum qualifications:

• A minimum of ten (10) years of progressive experience in systems engineering, with at least five (5) years in transportation or infrastructure technology.
• A bachelor's degree in Electrical Engineering, Computer Engineering, or a related discipline from an accredited institution; a master's degree is preferred.
• Demonstrated expertise in SCADA systems, IoT network architecture, and real-time data processing platforms.
• Valid work authorization or eligibility to obtain a work permit for the Islamic Republic of Iran.
• Fluency in English; working proficiency in Persian (Farsi) is strongly preferred for effective communication within the Iran Tehran operational environment.

This Purchase Order is issued under the authority of the Procurement Directorate of the Tehran Metropolitan Infrastructure & Technology Authority. By signing below, both parties confirm their agreement to all terms, conditions, and specifications set forth in this document.

This Purchase Order (PO-IR-TEH-2025-04782) is a controlled document of the Tehran Metropolitan Infrastructure & Technology Authority. Unauthorized reproduction or distribution is prohibited. All references to "Systems Engineer" in this document refer to the qualified professional assigned by the Supplier to perform the services described herein.
