All work under this Purchase Order shall be executed in full compliance with the regulatory framework of the Republic of Iraq and the local municipal bylaws governing the Iraq Baghdad metropolitan area.

The Systems Engineer shall possess a minimum of ten (10) years of progressive experience in enterprise systems architecture, network engineering, and data center operations. The Systems Engineer must hold at least one of the following certifications: Cisco CCIE, Microsoft Certified: Azure Solutions Architect Expert, or CompTIA Security+ (Advanced). The Systems Engineer shall report directly to the BITS Project Director stationed in Iraq Baghdad and shall maintain a minimum on-site presence of five (5) working days per week at the designated project facility in the Al-Mansour District of Iraq Baghdad.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All terms herein govern the engagement of the Systems Engineer for the duration of the contract period in Iraq Baghdad.
2. The Systems Engineer shall comply with all applicable laws, regulations, and security protocols of the Republic of Iraq, including but not limited to the Iraqi Labor Law No. 37 of 2015 and the data protection directives issued by the Iraqi Ministry of Communications.
3. Payment shall be made in United States Dollars (USD) via wire transfer to the Seller's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-IRQ-BGH-2025-0472) and the specific line item(s) being billed.
4. The Seller shall ensure that the Systems Engineer assigned to this Purchase Order maintains valid professional liability insurance with a minimum coverage of USD 2,000,000, valid throughout the performance period in Iraq Baghdad.
5. Any modification, amendment, or change order to this Purchase Order must be executed in writing and signed by both parties. Verbal agreements regarding the scope of the Systems Engineer's duties in Iraq Baghdad shall not be enforceable.
6. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Systems Engineer fails to meet the performance benchmarks outlined in the Statement of Work, or if security conditions in Iraq Baghdad render continued on-site work untenable.
7. All intellectual property, technical documentation, and system configurations developed by the Systems Engineer during the performance of this Purchase Order in Iraq Baghdad shall become the exclusive property of the Buyer upon full payment.
8. Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Dubai, UAE. The governing law shall be the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9. The Systems Engineer shall not be deemed an employee of the Buyer. The relationship established by this Purchase Order is strictly that of an independent contractor providing professional services in Iraq Baghdad.
10. Force majeure events, including but not limited to armed conflict, civil unrest, or government-imposed restrictions in Iraq Baghdad, shall suspend the obligations of both parties for the duration of such event, provided written notice is given within five (5) business days.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Systems Engineer to perform professional services in Iraq Baghdad. This Purchase Order is effective as of the date of the last signature below.
