This Purchase Order is issued by TechNova Solutions S.r.l. to formally procure the professional services of a qualified Systems Engineer to be deployed and operational within the Italy Milan metropolitan area. The Systems Engineer shall be responsible for the design, architecture, integration, testing, and ongoing maintenance of enterprise-level infrastructure systems, including but not limited to network topologies, server environments, cloud hybrid platforms, and cybersecurity frameworks.

The Systems Engineer engaged under this Purchase Order shall report directly to the Chief Technology Officer of TechNova Solutions S.r.l. and shall operate from the primary office facility located in the business district of Italy Milan, specifically at the address listed above. All deliverables, technical documentation, and project milestones associated with the Systems Engineer role shall be produced in accordance with the technical specifications outlined in Annex A of this Purchase Order.

Total Purchase Order Value: €417,750.00 (Four Hundred Seventeen Thousand Seven Hundred Fifty Euros)

The above amounts are exclusive of Italian Value Added Tax (IVA), which shall be applied at the prevailing rate of 22% as mandated by the Italian Revenue Agency (Agenzia delle Entrate). The total inclusive amount, where applicable, shall be calculated and reflected on the final invoice.

4.1 Commencement and Location: The Systems Engineer shall commence duties no later than 1 July 2025. All work shall be performed primarily at the Buyer's facility in Italy Milan. Remote work may be permitted for up to two (2) days per week, subject to prior written approval from the Buyer's project management office.

4.2 Payment Terms: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices shall reference this Purchase Order number (PO-2025-ITM-04782) and shall be submitted in electronic format via the Buyer's procurement portal. Payment shall be executed via SEPA bank transfer to the account designated by EuroTech Consulting Group S.p.A.

4.3 Performance Standards: The Systems Engineer shall adhere to all applicable Italian labor regulations, data protection laws (including the EU General Data Protection Regulation as transposed into Italian law via D.Lgs. 196/2003 and subsequent amendments), and industry best practices. The Supplier guarantees that the Systems Engineer assigned to this Purchase Order shall hold a minimum of eight (8) years of relevant professional experience and possess certifications in at least two of the following: AWS Solutions Architect, Cisco CCIE, Microsoft Azure Administrator, or CompTIA Security+

4.4 Intellectual Property: All work product, designs, code, documentation, and intellectual property created by the Systems Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of TechNova Solutions S.r.l. upon full payment. The Supplier and the Systems Engineer shall execute any additional assignment documents reasonably requested by the Buyer.

4.5 Confidentiality: Both parties acknowledge that the engagement of the Systems Engineer in Italy Milan will involve access to sensitive proprietary information, client data, and trade secrets. A separate Non-Disclosure Agreement (NDA) shall be executed concurrently with this Purchase Order and shall remain in force for a period of five (5) years following the termination of the engagement.

4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the Supplier shall ensure an orderly transition of all Systems Engineer responsibilities and deliver a comprehensive handover report within fifteen (15) business days.

4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy Milan metropolitan judicial district.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Buyer authorizes the Supplier to assign a qualified Systems Engineer to the project in Italy Milan in accordance with the scope defined herein. This Purchase Order constitutes a binding contractual obligation upon execution by both authorized representatives.
