This Purchase Order is issued by TechBridge Solutions S.r.l. (hereinafter referred to as the "Client") to formally request and authorize the procurement of specialized professional services rendered by a qualified Systems Engineer engaged through EuroTech Consulting SpA (hereinafter referred to as the "Supplier"). The services described herein shall be performed exclusively within the metropolitan area of Italy Rome, specifically at the Client's primary operations facility located at Via del Corso 125, 00186 Rome, Italy, and at such other sites within the Rome municipal boundary as may be mutually agreed upon in writing.

This Purchase Order constitutes a binding commercial instrument upon countersignature by both parties and shall govern all terms, conditions, deliverables, and obligations related to the engagement of the Systems Engineer for the duration specified in Section 4 below. All references to the work location throughout this document pertain to the Italy Rome operational zone unless otherwise stated in a written amendment.

The Supplier shall provide the Client with the services of a senior Systems Engineer possessing a minimum of ten (10) years of progressive experience in enterprise IT infrastructure design, implementation, and maintenance. The Systems Engineer shall be responsible for the following core duties while stationed in Italy Rome:

• Design, architecture, and deployment of scalable enterprise network infrastructure supporting the Client's operations in Italy Rome and its regional satellite offices.
• Configuration, optimization, and ongoing management of server clusters, virtualization platforms (VMware, Hyper-V), and cloud-hybrid environments.
• Development and execution of comprehensive disaster recovery and business continuity plans tailored to the regulatory environment of Italy Rome and the broader Italian jurisdiction.
• Conduct of periodic security audits, vulnerability assessments, and penetration testing in compliance with Italian data protection regulations (GDPR as implemented in Italy) and ENISA guidelines.
• Coordination with third-party vendors and telecom operators operating within the Italy Rome metropolitan area to ensure seamless integration of network services.
• Preparation of detailed technical documentation, system diagrams, and operational runbooks to be delivered to the Client's internal IT governance team.
• Mentoring and technical oversight of junior IT staff assigned to the Italy Rome operations center.

Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be issued monthly in arrears. The Client reserves the right to withhold payment for any deliverable not meeting the acceptance criteria defined in this Purchase Order.

The engagement of the Systems Engineer shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement. The Purchase Order may be terminated by either party with a written notice of sixty (60) days. In the event of termination, the Supplier shall ensure a structured handover of all work-in-progress, credentials, and documentation related to the Systems Engineer's responsibilities in Italy Rome within fifteen (15) business days of the effective termination date.

The Systems Engineer shall adhere to all applicable Italian labor regulations, data protection laws, and industry standards while performing duties in Italy Rome. All proprietary information, system architectures, and client data accessed during the engagement shall be treated as strictly confidential. This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be resolved through binding arbitration seated in Rome, Italy, in accordance with the rules of the Italian Arbitration Association (Camera Arbitrale).

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Systems Engineer in Italy Rome. This document, together with any attached exhibits or specifications, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
