2. SCOPE OF PROCUREMENT

This Purchase Order is issued by Keihan Industrial Solutions Co., Ltd. to formally request and authorize the procurement of a qualified Systems Engineer to be deployed and stationed at our primary operational facility located in Japan Kyoto. The engagement of this Systems Engineer is critical to the successful completion of the FY2025–2026 Infrastructure Modernization Program, which encompasses the design, integration, testing, and commissioning of a next-generation industrial control system spanning our three manufacturing sites in the Japan Kyoto metropolitan area.

The Systems Engineer shall be responsible for the end-to-end architecture, configuration, and validation of distributed control systems, SCADA interfaces, and enterprise resource planning integrations. All work shall be performed on-site at the Japan Kyoto headquarters and satellite facilities, with a minimum on-site presence of five (5) business days per week throughout the contracted period.

4. TERMS AND CONDITIONS

Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Supplier. The Supplier must confirm receipt and acceptance of this Purchase Order within five (5) business days of the date of issue.
Systems Engineer Qualifications: The Systems Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of progressive experience in industrial systems engineering, possess a valid professional engineering license, and demonstrate prior experience working in the Japan Kyoto region or equivalent Japanese industrial environments. The Supplier shall provide a detailed CV and references prior to commencement.
Work Location: All services under this Purchase Order shall be rendered at the Buyer's facility in Japan Kyoto, specifically at 12-4 Shijo-Dori, Nakagyo-ku, Japan Kyoto 604-8001. The Systems Engineer shall comply with all local Japanese labor regulations, workplace safety standards, and the Buyer's internal site access policies.
Payment Terms: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of system integration and commissioning at the Japan Kyoto site, and 30% upon final acceptance and handover of all documentation. All payments shall be made via wire transfer to the account designated by the Supplier.
Intellectual Property: All designs, configurations, documentation, and deliverables produced by the Systems Engineer in the course of fulfilling this Purchase Order for the Japan Kyoto operations shall become the sole property of Keihan Industrial Solutions Co., Ltd.
Confidentiality: The Systems Engineer shall be bound by a non-disclosure agreement covering all proprietary information, trade secrets, and operational data of the Buyer's Japan Kyoto facilities. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall ensure an orderly transition of the Systems Engineer's responsibilities to a successor or to the Buyer's internal team at the Japan Kyoto site.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with the courts of Japan Kyoto having exclusive jurisdiction over any disputes arising hereunder.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Japan Kyoto region, government-mandated shutdowns, or international travel restrictions.
