This Purchase Order is issued by Himalayan Digital Infrastructure Pvt. Ltd. (hereinafter referred to as the "Buyer") to TechBridge Solutions (Nepal) Pvt. Ltd. (hereinafter referred to as the "Supplier") for the procurement of professional Systems Engineer services to be performed in Nepal Kathmandu. The Buyer requires the engagement of a qualified and experienced Systems Engineer to design, implement, configure, and maintain the enterprise-level IT infrastructure systems located at the Buyer's primary data center and operational offices in Nepal Kathmandu.

The Systems Engineer engaged under this Purchase Order shall be responsible for the following scope of work:

• Design and architecture of server infrastructure, network topology, and cloud hybrid environments for the Buyer's operations in Nepal Kathmandu.
• Installation, configuration, and optimization of operating systems (Linux, Windows Server), virtualization platforms (VMware, Hyper-V), and container orchestration systems.
• Implementation of automated deployment pipelines, monitoring tools, and disaster recovery solutions tailored to the operational requirements in Nepal Kathmandu.
• Performance tuning, capacity planning, and proactive maintenance of all IT systems managed by the Systems Engineer.
• Security hardening, patch management, and compliance auditing in accordance with Nepal's Information Technology Act and applicable data protection regulations.
• Preparation of technical documentation, runbooks, and knowledge transfer materials for the Buyer's internal IT team based in Nepal Kathmandu.
• On-site support and troubleshooting at the Buyer's premises in Nepal Kathmandu during business hours (Monday to Friday, 9:00 AM to 6:00 PM NPT).

• Payment shall be made in Nepalese Rupees (NPR) via bank transfer to the Supplier's designated account in Nepal Kathmandu.
• Monthly invoices for the Systems Engineer engagement shall be submitted by the 5th of each month for the preceding month's services.
• The Buyer shall process payment within thirty (30) calendar days of receipt of a valid invoice and supporting documentation.
• A 10% advance payment against this Purchase Order shall be disbursed within seven (7) working days of mutual execution of this document.
• Any late payment shall attract interest at the rate of 1.5% per month as per the provisions of the Nepal Contract Act, 2056 (1999).

The Systems Engineer shall commence duties no later than 15 June 2025 at the Buyer's primary facility located in Nepal Kathmandu. All deliverables, including but not limited to architecture documents, configuration scripts, and operational reports, shall be submitted to the Buyer's project management office in Nepal Kathmandu within the timelines specified in the project schedule annexed to this Purchase Order.

• This Purchase Order is governed by the laws of the Kingdom of Nepal, including the Contract Act, 2056 (1999) and the Information Technology Act, 2008 (2063).
• The Systems Engineer engaged under this Purchase Order shall maintain strict confidentiality of all proprietary data, system credentials, and business information of the Buyer. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement of work in Nepal Kathmandu.
• The Supplier warrants that the Systems Engineer assigned to this Purchase Order shall possess a minimum of eight (8) years of professional experience in enterprise systems engineering and shall hold relevant certifications (e.g., AWS Solutions Architect, VMware VCP, or equivalent).
• The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, sustained underperformance, or force majeure events affecting operations in Nepal Kathmandu.
• All intellectual property created specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 2055 (1998).
• This Purchase Order shall remain valid until 15 September 2025. If not executed by the Supplier within this period, the Buyer may issue a revised Purchase Order or cancel this reference number.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Systems Engineer services in Nepal Kathmandu. This document constitutes a binding agreement between the parties upon execution.
