This Purchase Order is issued to procure the professional services of a qualified Systems Engineer to be deployed at the buyer's operational facility in South Africa Johannesburg. The Systems Engineer shall be responsible for the design, implementation, integration, testing, and ongoing maintenance of the buyer's enterprise IT infrastructure, including but not limited to server architectures, network topologies, cloud migration frameworks, cybersecurity protocols, and disaster recovery systems. The Systems Engineer must hold a minimum of a BEng or BSc in Computer Science, Electrical Engineering, or a related discipline, and possess no fewer than seven (7) years of progressive post-qualification experience in enterprise systems engineering. All services rendered under this Purchase Order shall be performed in compliance with the Information and Communications Bill (Act 56 of 2019), the Protection of Personal Information Act (POPIA), and all applicable regulations of the Information Regulator of South Africa.

Payment shall be made in South African Rand (ZAR) via electronic funds transfer (EFT) to the supplier's designated bank account. The monthly retainer (Item 01) and on-call support (Item 05) shall be invoiced on the 25th of each month for services rendered in the preceding calendar month, with payment due within thirty (30) days of invoice receipt. Project-based items (Items 02, 03, 04, and 06) shall be invoiced upon milestone completion as agreed in the Statement of Work annexed to this Purchase Order. Late payments shall attract interest at the rate prescribed by the Late Payment of Debts Act (Act 11 of 2011) of South Africa.

This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorised representatives. All terms herein are governed by the laws of the Republic of South Africa.
The Systems Engineer assigned to this engagement must be physically present at the buyer's premises in South Africa Johannesburg for a minimum of four (4) days per week, with the remaining day available for remote work at the supplier's discretion, subject to the buyer's approval.
The Supplier warrants that the Systems Engineer shall maintain all necessary professional indemnity insurance (minimum cover of ZAR 5,000,000) and public liability insurance throughout the duration of this Purchase Order.
All intellectual property, documentation, code, and deliverables produced by the Systems Engineer in the course of performing services under this Purchase Order shall vest exclusively in the Buyer upon full payment.
The Supplier shall comply with all applicable South African labour legislation, including the Basic Conditions of Employment Act (Act 75 of 1997) and the Labour Relations Act (Act 66 of 1995), in respect of the Systems Engineer and any supporting personnel.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
The Supplier shall not subcontract any portion of the Systems Engineer services without the prior written consent of the Buyer.
All disputes arising from this Purchase Order shall be resolved through arbitration in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
This Purchase Order is subject to the buyer's internal procurement policy and the relevant provisions of the Preferential Procurement Policy Framework Act (Act 5 of 2000) where applicable.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Systems Engineer in South Africa Johannesburg.
