This Purchase Order is issued by Anadolu Technology Solutions A.S. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional engineering services from Meridian IT Consulting Ltd. (hereinafter referred to as the "Supplier"). The primary objective of this Purchase Order is to engage a qualified Systems Engineer to design, implement, and maintain critical infrastructure systems for the Buyer's operations headquartered in Turkey Ankara. All services described herein shall be performed in accordance with the specifications, timelines, and quality standards outlined in this document and the attached Statement of Work (SOW-2025-114).

The Systems Engineer engaged under this Purchase Order shall be responsible for the end-to-end architecture, deployment, and ongoing management of the Buyer's enterprise computing environment, network infrastructure, data center operations, and cloud hybrid systems. The role is specifically tailored to the operational requirements of the Buyer's facilities located in the Cankaya district of Turkey Ankara, where all primary server rooms, network operations centers, and administrative offices are situated.

The Systems Engineer assigned to fulfill the obligations under this Purchase Order must meet the following minimum qualifications:

• A minimum of eight (8) years of progressive experience in enterprise systems engineering, with at least three (3) years in a senior or lead capacity.
• Certifications in at least two of the following: Cisco CCIE, VMware VCP, AWS Solutions Architect Professional, Microsoft Azure Solutions Architect Expert, or CompTIA Security+.
• Demonstrated proficiency in Linux (RHEL, Ubuntu), Windows Server, virtualization platforms, and containerized environments (Docker, Kubernetes).
• Working knowledge of Turkish data protection regulations (KVKK) and familiarity with the regulatory environment in Turkey Ankara, including local telecommunications and infrastructure compliance requirements.
• Fluency in English (written and spoken) and working proficiency in Turkish, as all on-site coordination in Turkey Ankara will require direct communication with local municipal authorities, building management, and internal Turkish-speaking staff.
• Valid work authorization or visa status permitting employment or contracted service delivery within the Republic of Turkey.

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule:

• 30% Advance Payment: Due within ten (10) business days of the Buyer's written acceptance of this Purchase Order. Amount: TRY 748,500.00.
• 40% Milestone Payment: Due upon successful completion and Buyer sign-off of Milestones M2 and M3. Amount: TRY 998,000.00.
• 30% Final Payment: Due upon completion of Milestone M4 and delivery of all final documentation. Amount: TRY 748,500.00.
• Monthly Retainer: The 12-month maintenance retainer (TRY 85,000.00 per month) shall be invoiced on the first business day of each month and paid within thirty (30) days of invoice receipt.

All payments shall be made via bank transfer to the Supplier's designated account in Turkish Lira (TRY). The Buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria defined in the Statement of Work. Late payments shall incur an interest charge of 1.5% per month, in compliance with Turkish commercial law (Türk Ticaret Kanunu).

This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Turkey Ankara. The Systems Engineer engaged under this agreement shall be bound by strict confidentiality obligations regarding all proprietary information, system credentials, network topologies, and business data of the Buyer. A Non-Disclosure Agreement (NDA) executed prior to the commencement of work is a prerequisite for the Systems Engineer to access any facilities or systems in Turkey Ankara.

The Supplier warrants that the Systems Engineer assigned to this Purchase Order shall be a qualified, independent professional and shall not be in violation of any existing contractual obligations. The Supplier shall provide full professional indemnity insurance coverage for the duration of the engagement. In the event of non-performance, the Buyer may terminate this Purchase Order with thirty (30) days' written notice and shall be entitled to a pro-rata refund of any pre-paid amounts for services not yet rendered.

All work performed by the Systems Engineer under this Purchase Order shall be conducted in full compliance with applicable Turkish labor laws, occupational health and safety regulations (İş Sağlığı ve Güvenliği Kanunu), and data protection statutes. The Systems Engineer shall adhere to all site-specific safety protocols at the Buyer's premises in Turkey Ankara.
