This Purchase Order is issued by Meridian Infrastructure Solutions Ltd. (hereinafter referred to as the "Buyer") to Apex Technical Consultancy Group (hereinafter referred to as the "Supplier") for the engagement of a qualified Systems Engineer to provide specialist technical services at the Buyer's operational facility located in United Kingdom Birmingham. The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the Buyer's enterprise computing infrastructure, network architecture, and integrated hardware-software systems situated at the Birmingham premises.
The scope of work under this Purchase Order encompasses the following deliverables and responsibilities for the Systems Engineer:
- Full assessment and documentation of the existing IT infrastructure at the United Kingdom Birmingham site, including server rooms, network switches, storage arrays, and endpoint devices.
- Design and deployment of a scalable, redundant network architecture to support a minimum of 500 concurrent users at the Birmingham location.
- Configuration, hardening, and security patching of all operating systems, middleware, and application servers managed by the Systems Engineer.
- Implementation of disaster recovery and business continuity plans specific to the United Kingdom Birmingham operational environment.
- Provision of a minimum of 120 hours of on-site technical support per month at the Birmingham facility, with remote support available on a 24/7 basis.
- Quarterly performance reviews and written reports submitted to the Buyer's IT Director regarding the health and optimisation of all systems under the Systems Engineer's purview.

Payment shall be made in monthly instalments of £16,535.00 (plus applicable VAT) within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The initial one-off charges (Items 3 and 4) shall be invoiced upon completion of the respective deliverables. All payments shall be made via BACS transfer to the Supplier's designated bank account in the United Kingdom.
This Purchase Order shall become effective upon mutual written acceptance by both parties. The engagement of the Systems Engineer at the United Kingdom Birmingham site shall commence on 1 September 2025 and shall continue for a fixed term of twelve (12) months, expiring on 31 August 2026, unless extended by mutual written agreement. The Supplier guarantees that the Systems Engineer assigned to this Purchase Order shall hold a minimum of five (5) years of relevant experience in enterprise systems engineering and shall possess current certifications in at least two of the following: Cisco CCNP/CCIE, Microsoft Azure Solutions Architect, VMware VCP, or CompTIA Security+
- Confidentiality: The Systems Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary information, system architectures, and business data encountered at the United Kingdom Birmingham facility. Breach of confidentiality shall render the Supplier liable for damages as stipulated in the NDA.
- Compliance: All services rendered under this Purchase Order shall comply with applicable United Kingdom legislation, including the Data Protection Act 2018, the UK GDPR, the Computer Misuse Act 1990, and all relevant Health and Safety regulations applicable to the Birmingham workplace.
- Insurance: The Supplier shall maintain Professional Indemnity Insurance of no less than £5,000,000 and Public Liability Insurance of no less than £10,000,000 for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately without notice. Upon termination, the Systems Engineer shall hand over all documentation, access credentials, and work-in-progress materials to the Buyer within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Birmingham, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be referred to the courts of England and Wales.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales.
By signing below, both parties confirm their acceptance of all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Systems Engineer at the United Kingdom Birmingham operational site. This document constitutes a binding agreement between the parties upon execution.
