This Purchase Order is issued by Meridian Technology Solutions Ltd to procure the professional services of a qualified Systems Engineer to be deployed at our principal office in United Kingdom London. The Systems Engineer shall be responsible for the design, architecture, implementation, testing, and ongoing maintenance of our enterprise-grade IT infrastructure, including but not limited to server environments, network topologies, cloud hybrid systems, and security frameworks. The Systems Engineer will operate under the direct supervision of the Enterprise Infrastructure Division and will be required to attend all scheduled engineering review meetings held at the London premises.

The Systems Engineer must hold a minimum of eight (8) years of progressive experience in enterprise systems engineering, possess relevant certifications (including but not limited to TOGAF, AWS Solutions Architect Professional, or equivalent), and demonstrate proven expertise in Linux/Unix server administration, virtualisation platforms (VMware, Hyper-V), container orchestration (Kubernetes, Docker), and automated infrastructure-as-code pipelines (Terraform, Ansible). The Systems Engineer will be expected to produce comprehensive technical documentation, conduct risk assessments, and liaise with third-party vendors as required to ensure seamless integration across all systems hosted within the United Kingdom London data centre and associated cloud regions.

Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
Payment Terms: Invoices shall be submitted on a monthly basis by the 5th working day. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Confidentiality: The Systems Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary data, system architectures, and business intelligence encountered during the engagement in United Kingdom London. Breach of confidentiality shall entitle Meridian Technology Solutions Ltd to seek injunctive relief and damages.
Intellectual Property: All work product, documentation, code, and designs created by the Systems Engineer in the course of this Purchase Order shall be the sole and exclusive property of Meridian Technology Solutions Ltd upon full payment.
Insurance: The supplier shall maintain Professional Indemnity Insurance of no less than £5,000,000 and Public Liability Insurance of no less than £10,000,000 for the duration of this Purchase Order.
Termination: Either party may terminate this Purchase Order with ninety (90) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Systems Engineer shall hand over all work-in-progress and documentation within seven (7) working days.
Compliance: The Systems Engineer shall comply with all applicable United Kingdom data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as well as all relevant Health and Safety regulations applicable to the London workplace.
Warranties: The supplier warrants that the Systems Engineer engaged under this Purchase Order possesses all qualifications, certifications, and competencies represented in the proposal. Any misrepresentation shall constitute grounds for immediate termination without penalty to Meridian Technology Solutions Ltd.

By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of a Systems Engineer at the United Kingdom London premises. This document constitutes a binding agreement upon execution by both authorised representatives.
