The Systems Engineer engaged under this Purchase Order shall perform duties exclusively at the Buyer's premises located in United Kingdom Manchester, specifically at the Northbridge Technology Solutions Ltd. operations centre on Deansgate Square. The scope of work includes but is not limited to: the design and deployment of scalable server infrastructure; configuration and management of virtualised environments; implementation of network security protocols; continuous monitoring and optimisation of system performance; preparation of technical documentation; and coordination with third-party vendors operating within the Manchester region. The Systems Engineer shall report directly to the Buyer's Director of Technology and shall adhere to all applicable United Kingdom data protection regulations, including the UK GDPR and the Data Protection Act 2018.
The Systems Engineer shall commence duties no later than 1 September 2025 at the designated Manchester, United Kingdom site. All deliverables associated with this Purchase Order shall be submitted in accordance with the project timeline agreed upon in the supplementary Statement of Work. Any delays attributable to the Supplier shall be subject to the penalty provisions outlined in Section 7 of this Purchase Order.
Payment for services rendered under this Purchase Order shall be made on a monthly basis, invoiced in arrears. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments shall be made via direct bank transfer to the account designated by Apex Engineering Consultancy Group. Invoices must reference this Purchase Order number (PO-2025-MAN-SE-0472) and shall include the Supplier's VAT registration number. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
6.1 This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
6.2 The Systems Engineer shall maintain all professional indemnity insurance, public liability insurance, and employer's liability insurance at levels no less than those required by United Kingdom statutory provisions for the duration of the engagement.
6.3 The Supplier warrants that the Systems Engineer engaged under this Purchase Order possesses all necessary qualifications, certifications, and professional competencies to perform the services described herein. The Systems Engineer shall hold a minimum of a BEng or MEng degree in Computer Science, Electrical Engineering, or a directly related discipline, along with relevant industry certifications (e.g., AWS Solutions Architect, Cisco CCNP, or equivalent).
6.4 All intellectual property developed specifically for the Buyer during the course of this engagement shall vest in Northbridge Technology Solutions Ltd. upon full payment. The Systems Engineer shall sign a non-disclosure agreement prior to commencing work at the Manchester site.
6.5 Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the aggrieved party may terminate immediately upon written notice.
6.6 The Supplier shall ensure that the Systems Engineer complies with all health and safety regulations applicable to the United Kingdom, including the Health and Safety at Work etc. Act 1974, while working at the Manchester premises.
This Purchase Order becomes binding upon written acceptance by both parties. The Buyer authorises the procurement of the Systems Engineer services as detailed herein for deployment in United Kingdom Manchester. The Supplier acknowledges receipt of this Purchase Order and confirms its ability to deliver the specified services within the agreed timeframe and at the stated rates.
