This Purchase Order is issued by Corporación Tecnológica del Caribe, C.A. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional services rendered by a qualified Systems Engineer (hereinafter referred to as the "Provider") for the duration and scope described herein. The engagement of the Systems Engineer is specifically designated for operations conducted within the metropolitan area of Venezuela Caracas, and all deliverables, site visits, and on-site technical interventions shall take place at the Buyer's primary facility located in Chacao, Venezuela Caracas, unless otherwise directed in writing by the Buyer's project management office.
The Systems Engineer shall be responsible for the design, implementation, testing, and ongoing maintenance of the Buyer's enterprise-level information technology infrastructure. This includes but is not limited to: network architecture planning and deployment, server virtualization and cloud migration strategies, cybersecurity protocol development, database administration, and the integration of legacy systems with modern enterprise resource planning (ERP) platforms. The Systems Engineer must hold a minimum of eight (8) years of documented professional experience in enterprise systems engineering and must possess valid certifications in at least two of the following: Cisco CCIE, Microsoft Certified: Azure Solutions Architect Expert, or AWS Certified Solutions Architect – Professional.

All payments under this Purchase Order shall be made in United States Dollars (USD) via wire transfer to the Provider's designated bank account in Venezuela Caracas. The payment schedule is as follows: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon completion of the primary Systems Engineer infrastructure deployment milestone; and the remaining thirty percent (30%) upon final acceptance of all deliverables and submission of the closing report. Invoices must be submitted to the Buyer's accounts payable department no later than the fifth (5th) business day of each month. Late payments shall accrue interest at the rate established by the Central Bank of Venezuela for commercial transactions.
- This Purchase Order constitutes a binding agreement between the Buyer and the Provider upon signature by both authorized representatives. All terms herein shall be governed by the commercial laws of the Bolivarian Republic of Venezuela, with specific reference to the applicable regulations of the state of Venezuela Caracas.
- The Systems Engineer assigned to this engagement must be physically present at the Buyer's facility in Venezuela Caracas a minimum of five (5) days per week during the core project phase (months 1 through 4). During the maintenance phase (months 5 through 6), the Systems Engineer shall be available on-site at least three (3) days per week, with remote support available for the remaining days.
- The Provider warrants that the Systems Engineer shall comply with all data protection regulations applicable in Venezuela, including the Ley Orgánica de Protección de Datos Personales, and shall execute a non-disclosure agreement (NDA) prior to commencing any work in Venezuela Caracas.
- Any modification to the scope of work, timeline, or deliverables outlined in this Purchase Order must be documented in a formal change order signed by both parties. No verbal modifications shall be considered valid.
- The Provider shall maintain professional liability insurance with a minimum coverage of USD 250,000 for the duration of the engagement in Venezuela Caracas. Proof of insurance must be submitted prior to the commencement of work.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation in Venezuela Caracas. Should mediation fail, the matter shall be submitted to the competent commercial courts of the state of Venezuela Caracas.
- The Provider shall not subcontract any portion of the Systems Engineer services without prior written consent from the Buyer. Any approved subcontracting must be disclosed in writing at least ten (10) business days before the subcontracted work begins.
- All intellectual property, documentation, and technical artifacts produced by the Systems Engineer during the course of this engagement shall become the sole property of the Buyer upon full payment of this Purchase Order.
The Systems Engineer engagement shall commence on July 1, 2025, at the Buyer's primary facility in Venezuela Caracas. The full scope of work, including all deliverables, training sessions, and the final technical report, shall be completed no later than December 31, 2025. The Provider is expected to submit a detailed project timeline and milestone schedule within five (5) business days of the execution of this Purchase Order.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Systems Engineer services in Venezuela Caracas. This document is executed in two (2) original copies, one for each party.
