4. Terms and Conditions of This Purchase Order

This Purchase Order is issued by Société Algérienne de Vêtements S.A., located in Algeria Algiers, and constitutes a binding request for the Tailor vendor, Atelier El Kheir, to perform the custom garment manufacturing and tailoring services described herein.
The Tailor shall complete all bespoke fittings, cutting, sewing, embroidery, and finishing work in accordance with the specifications provided by the buyer's design team. All work shall be performed at the Tailor's workshop in El Hamiz, Algeria Algiers, unless otherwise directed in writing.
Delivery of all finished garments under this Purchase Order shall be made to the buyer's premises at 42 Rue Didouche Mourad, Algeria Algiers, no later than 15 July 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
Payment shall be made via bank transfer to the Tailor's designated account within thirty (30) calendar days of receipt of a valid tax invoice (facture) conforming to Algerian commercial law and the requirements of the Direction Générale des Impôts in Algeria Algiers.
The Tailor warrants that all fabrics, threads, buttons, zippers, and auxiliary materials used in the production of garments under this Purchase Order shall be of premium quality, free from defects, and compliant with applicable Algerian textile standards (NPA — Norme Algérienne).
A minimum of two (2) fitting sessions shall be conducted per client for bespoke items. The Tailor shall provide a final inspection report for each garment lot prior to delivery, confirming measurements, stitching integrity, and overall finish quality.
Any modifications, cancellations, or changes to the scope of this Purchase Order must be agreed upon in writing by both parties. The Tailor shall not commence additional work without a written amendment to this Purchase Order.
This Purchase Order is governed by the laws of the People's Democratic Republic of Algeria. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Algeria Algiers (Tribunal de Commerce d'Alger).
The Tailor shall maintain full professional liability insurance covering all work performed under this Purchase Order, with a minimum coverage of 5,000,000 DZD, and shall provide a certificate of insurance upon request.
All intellectual property rights related to design patterns, measurements, and client data collected during the Tailor's fitting sessions shall remain the exclusive property of the buyer. The Tailor shall not reproduce, share, or use such data for any other client or commercial purpose.

Note: This Purchase Order is valid for a period of sixty (60) days from the date of issue. The Tailor is requested to confirm acceptance of all terms by signing and returning a copy of this document to the buyer's procurement office in Algeria Algiers within five (5) business days.
