1. This Purchase Order is issued by Maplewood Corporate Attire Group Inc. and is binding upon acceptance by the named Tailor, Sterling & Co. Bespoke Tailoring Ltd., located in Canada Toronto, Ontario.
2. All garments and services described herein must be completed to the specifications provided in the attached measurement sheets and style guides. The Tailor is responsible for ensuring all work meets the agreed-upon quality standards prior to delivery.
3. Payment shall be made within thirty (30) calendar days of the date of invoice, provided that all items have been delivered to the Canada Toronto office address listed above and have passed the buyer's quality inspection. Payment will be issued via electronic funds transfer (EFT) to the account designated by the Tailor.
4. The Tailor shall provide a written progress update every ten (10) business days from the date of this Purchase Order until final delivery. Any anticipated delays must be communicated in writing no fewer than five (5) business days before the required delivery date.
5. All materials, including fabrics, threads, buttons, and linings, must be sourced from approved suppliers listed in Appendix A of this Purchase Order. Substitutions require prior written approval from the Procurement Manager.
6. In the event of defective workmanship or failure to meet the specified measurements, the Tailor shall, at no additional cost, repair or replace the affected garments within ten (10) business days of notification.
7. This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto before proceeding to litigation.
8. The Tailor shall maintain full liability insurance coverage of no less than $2,000,000 CAD for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
9. All intellectual property, including the company logo and monogram designs provided for embroidery, remains the exclusive property of Maplewood Corporate Attire Group Inc. The Tailor shall not reproduce, distribute, or use these designs for any other client.
10. This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications shall be considered valid.
