TERMS AND CONDITIONS
- Scope of Tailor Services: The Seller, a licensed tailor workshop operating in Bogotá, Colombia, shall provide all bespoke tailoring, cutting, sewing, pressing, and finishing services as described in this Purchase Order. All garments shall be crafted to individual measurements taken during the fitting sessions at the Seller’s workshop located in Chapinero, Bogotá.
- Quality Standards: All tailoring work shall meet the quality standards established by the Colombian textile industry (NTC 5750). The master tailor shall personally inspect each garment before packaging. Any garment failing inspection shall be reworked at no additional cost to the Buyer.
- Delivery in Bogotá: The Seller shall deliver all completed garments to the Buyer’s office in Zona Rosa, Bogotá, no later than July 25, 2025. Delivery shall be made via the Seller’s own logistics within the city of Bogotá. A signed delivery receipt shall be required upon handover.
- Payment Schedule: A 50% advance payment (COP$ 122,004,750) shall be made within five (5) business days of this Purchase Order’s mutual signature. The remaining 50% (COP$ 122,004,750) shall be paid within ten (10) business days after final acceptance of all garments in Bogotá. Payments shall be made via bank transfer to the Seller’s account at Banco de Bogotá, Account No. 016-458-772-10, NIT 830.987.654-1.
- Warranty: The tailor shall provide a six-month warranty on all stitching, seams, and structural integrity of each garment. Repairs within the warranty period shall be performed at the Seller’s Bogotá workshop at no charge.
- Confidentiality: The Seller acknowledges that employee measurements and corporate branding details are confidential. No data collected during the tailoring process in Bogotá shall be disclosed to third parties in compliance with Colombia’s Law 1581 of 2012 (Data Protection Law).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Bogotá metropolitan area, government-mandated closures, or supply chain disruptions in Colombian textile materials.
- Governing Law: This Purchase Order shall be governed by the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved in the commercial courts of Bogotá, Cundinamarca, Colombia.
- Validity: This Purchase Order is valid for sixty (60) days from the date of issue. If not signed and confirmed by both parties within this period, it shall automatically expire and must be reissued.
