- This Purchase Order is issued by StitchCraft Corporate Apparel Solutions Pvt. Ltd., Bangalore, India, and constitutes a binding agreement upon acceptance by the named Tailor, Master Karthik Ramesh of Karthik's Bespoke Tailoring Studio, Jayanagar, Bangalore.
- All tailoring work must be executed in accordance with the measurement sheets, fabric specifications, and design references provided by the StitchCraft procurement team during the on-site measurement camp scheduled on 16 June 2025 at the Indiranagar office, Bangalore.
- The Tailor shall use only the approved fabrics sourced from the vendor list attached to this Purchase Order. Substitution of fabric, thread, or lining materials without prior written approval from StitchCraft's Head of Procurement is strictly prohibited.
- Delivery of all items shall be made to the StitchCraft Bangalore headquarters at 42, 100 Feet Road, Indiranagar, Bangalore, Karnataka – 560038, India. The Tailor is responsible for safe transport and packaging of all garments within the city limits of Bangalore.
- A minimum of 98% of all delivered items must pass the quality inspection conducted by StitchCraft's in-house quality assurance team. Any defective or non-conforming pieces must be reworked or replaced by the Tailor within 48 hours at no additional cost.
- Payment shall be made via NEFT/RTGS to the bank account specified by the Tailor within 30 days of receipt of a valid GST-compliant tax invoice. Late payments shall attract interest at 1.5% per month as per the applicable Indian commercial law.
- This Purchase Order is governed by the laws of India, and any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- The Tailor agrees to maintain strict confidentiality regarding StitchCraft's employee measurements, design preferences, and corporate branding details. No information related to this Purchase Order shall be disclosed to third parties without written consent.
- Force majeure events, including but not limited to natural disasters, government-mandated lockdowns in Bangalore, or supply chain disruptions, shall extend the delivery timeline by a mutually agreed period in writing.
- This Purchase Order is valid for acceptance within 5 working days from the date of issue. Failure to accept within this period shall render this document null and void.
