- Scope of Purchase Order: This Purchase Order is issued exclusively for the procurement of Tailor materials, equipment, and supplies required for the operation of Darvish Tailor House, a registered Tailor workshop located in the heart of Iran Tehran. All items listed herein are intended for professional Tailor use in the construction of bespoke and made-to-measure garments.
- Delivery Location: All goods covered under this Purchase Order shall be delivered to the Tailor workshop premises at Ferdowsi Street, Valiasr Avenue, Tehran, Iran. The Supplier assumes full responsibility for safe transport within the Iran Tehran metropolitan area. Delivery windows must be coordinated with the Master Tailor at least 48 hours in advance.
- Quality Standards: All Tailor-grade fabrics, threads, and hardware must meet the quality specifications agreed upon between the Buyer (Tailor) and the Supplier. Any material found to be substandard upon inspection at the Tehran workshop shall be rejected and replaced at the Supplier's sole expense within five (5) business days.
- Payment Schedule: Payment for this Purchase Order shall be made in two installments: fifty percent (50%) upon confirmation of order acceptance by the Supplier, and the remaining fifty percent (50%) within thirty (30) calendar days of full delivery and acceptance of all Tailor goods at the Tehran premises. Payments shall be processed via bank transfer to the Supplier's registered account with the Central Bank of Iran.
- Warranty and After-Sales: All mechanical Tailor equipment (sewing machines, steam presses) shall carry a minimum twelve-month manufacturer's warranty valid in Iran Tehran. The Supplier shall provide a local service contact in Tehran for any warranty claims related to Tailor machinery.
- Force Majeure: Neither party shall be liable for delays in fulfilling this Purchase Order caused by events beyond reasonable control, including but not limited to government-mandated closures in Iran Tehran, natural disasters, or national supply chain disruptions affecting the Tailor trade.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Commercial Code of the Islamic Republic of Iran. Any disputes arising from this Tailor supply agreement shall be resolved through the competent commercial courts of Tehran, Iran.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both the Master Tailor (Buyer) and the authorized representative of the Supplier. Verbal agreements regarding Tailor materials or delivery schedules in Tehran are not binding.
- Confidentiality: Both parties agree to maintain confidentiality regarding the pricing, quantities, and business terms contained in this Purchase Order. The Tailor's client lists, pattern designs, and bespoke specifications shared in connection with this order shall remain the exclusive property of Darvish Tailor House, Tehran, Iran.
