- This Purchase Order is issued by Atelier Meridiana S.r.l. (hereinafter "the Buyer") to Sartoria Colonna & Figli (hereinafter "the Tailor") for the provision of bespoke tailoring services, custom garment construction, and related materials as specified in the order details above. All work shall be performed at the Tailor's atelier located in Rome, Italy, unless otherwise agreed in writing.
- The Tailor shall use only premium Italian fabrics and materials as specified in each line item. Substitution of materials without prior written consent from the Buyer is strictly prohibited. All fabrics must be sourced from recognised Italian mills and suppliers.
- Each bespoke garment shall undergo a minimum of two (2) fitting sessions at the Tailor's Rome workshop. The Buyer's representative shall attend all fittings in person. The Tailor shall provide a detailed measurement record and retain it for a period of five (5) years for future alterations.
- Payment shall be made in two instalments: fifty percent (50%) of the total amount due within five (5) business days of the Buyer's written confirmation of this Purchase Order, and the remaining fifty percent (50%) due upon completion of the final fitting and acceptance of all garments. Payment shall be made via bank transfer to the Tailor's designated Italian bank account.
- Delivery of all completed garments and accessories shall be made to the Buyer's address in Rome, Italy, on or before 08 August 2025. The Tailor is responsible for all packaging, including the use of breathable garment bags and protective tissue paper, in accordance with Italian tailoring industry standards.
- In the event of any defect in workmanship, stitching, or material quality discovered within ninety (90) days of delivery, the Tailor shall repair or replace the affected item at no additional cost to the Buyer. This warranty is in addition to the consumer protection rights afforded under Italian law (Codice del Consumo, D.Lgs. 206/2005).
- All intellectual property rights in the design patterns, measurements, and construction techniques developed specifically for the Buyer under this Purchase Order shall remain the exclusive property of the Buyer. The Tailor shall not reproduce or sell garments based on the Buyer's unique patterns without express written permission.
- This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy. Both parties agree to attempt good-faith mediation before initiating any legal proceedings.
- The Tailor shall comply with all applicable Italian labour regulations, health and safety standards, and environmental regulations in the production and finishing of all garments. The Tailor warrants that all work is performed by skilled artisans in accordance with the traditional Roman tailoring craft.
- Any amendments, additions, or cancellations to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be binding. The Tailor shall confirm receipt of any amendment request within two (2) business days.
- This Purchase Order constitutes the entire agreement between the Buyer and the Tailor with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the bespoke tailoring services described above.
