1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by Kyoto Tailor Supply Co., Ltd., a bespoke tailoring house operating in the historic Nishijin district of Japan Kyoto, to procure premium fabrics, trims, and tailoring accessories required for the upcoming autumn and winter 2025 collection. As a renowned Tailor specializing in traditional Japanese garments, Western bespoke suits, and hybrid Kyoto-inspired designs, our workshop requires a consistent and high-quality supply chain. This Purchase Order governs the terms, quantities, pricing, and delivery schedule for all materials listed herein. All items are intended exclusively for use in our Tailor workshop located in Japan Kyoto and shall not be resold or redistributed without prior written consent.

3. DELIVERY TERMS AND LOGISTICS

All materials specified in this Purchase Order shall be delivered to the Tailor workshop premises at 42-7 Nishikikoji-dori, Nakagyo-ku, Japan Kyoto. The supplier is required to ensure that all fabric rolls are properly wrapped in moisture-proof packaging and that delicate silk items are transported in climate-controlled conditions. Delivery is scheduled for June 28, 2025, between the hours of 09:00 and 14:00 Japan Standard Time. The Tailor workshop will assign a receiving officer to inspect all items upon arrival. Any discrepancies in quantity, quality, or specification must be reported within 48 hours of delivery. Late delivery beyond the agreed date will incur a penalty of 0.5% of the total Purchase Order value per calendar day, up to a maximum of 5%.

4. PAYMENT TERMS

Payment for this Purchase Order shall be made via bank transfer to the supplier's designated account within 30 days from the date of confirmed delivery and acceptance of goods. The payment reference shall include the Purchase Order number KTS-2025-04871. A 2% early payment discount shall apply if settlement is completed within 10 days of delivery confirmation. All amounts are denominated in Japanese Yen (JPY) and are inclusive of applicable consumption tax as itemized above.

5. QUALITY ASSURANCE AND INSPECTION

As a bespoke Tailor operating in Japan Kyoto, our workshop maintains the highest standards of craftsmanship. All fabrics and trims delivered under this Purchase Order must meet the following quality criteria: no visible weaving defects, consistent dye lot across all metres, accurate width tolerance of ±1cm, and proper labelling in accordance with Japanese textile labelling regulations (Act on Specified Home Textiles). The Master Tailor or his designated quality inspector shall conduct a visual and tactile inspection of each item. Non-conforming goods shall be returned at the supplier's expense, and a replacement shipment must be arranged within 7 business days.

6. TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between Kyoto Tailor Supply Co., Ltd. (Buyer) and Nishijin Fabric & Trim Wholesale Ltd. (Seller) upon signature by both parties.
  2. All materials procured under this Purchase Order are intended for use in the Tailor's bespoke garment production in Japan Kyoto and are subject to the intellectual property and design confidentiality policies of the Buyer.
  3. The Seller warrants that all goods are free from liens, encumbrances, and defects, and that they comply with all applicable Japanese consumer product safety standards.
  4. Force majeure events, including but not limited to natural disasters common to the Japan Kyoto region (earthquakes, typhoons, flooding), shall excuse delayed performance provided written notice is given within 24 hours of the event.
  5. Any disputes arising from this Purchase Order shall be resolved through mediation in Kyoto, Japan, and if unresolved, through the Kyoto District Court under the jurisdiction of Japan Kyoto.
  6. This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. Verbal modifications are not valid.
  7. The Seller shall maintain adequate insurance coverage for all goods in transit to the Tailor's workshop in Japan Kyoto.
  8. Confidentiality: Both parties agree to keep the pricing, quantities, and design specifications contained in this Purchase Order strictly confidential and shall not disclose them to third parties without written consent.
