All completed garments and Tailor services referenced in this Purchase Order shall be delivered to the designated warehouse located in Kita-ku, Osaka, Japan. The Tailor workshop in Chuo-ku, Osaka is responsible for all packaging, labeling, and secure transport within the Osaka metropolitan area. Delivery must be completed no later than July 25, 2025, by 17:00 JST. The Tailor shall provide a delivery manifest listing each garment, its corresponding order reference, and the specific Tailor artisan who completed the work. All shipments within Japan Osaka must comply with local municipal transport regulations and Osaka Prefecture commercial delivery guidelines.

The Tailor vendor, Kansai Master Tailor Workshop, certifies that all garments produced under this Purchase Order meet the quality standards established by the Japan Textile Federation and the Osaka Prefecture Craftsmanship Association. Each piece of Tailor work shall be inspected by a senior Tailor master before final packaging. The Tailor must maintain a minimum of 15 years of documented experience in bespoke garment construction. All stitching, buttonwork, and finishing must conform to the specifications outlined in Appendix A of this Purchase Order. Any garment that fails the quality inspection at the Osaka warehouse shall be returned to the Tailor for rework at no additional cost within five (5) business days.

Payment for this Purchase Order shall be made via bank transfer to the Tailor's designated account at Sumitomo Mitsui Banking Corporation, Osaka Main Branch. The full amount of 16,861,250 JPY is due within thirty (30) calendar days of the date of the final invoice issued by the Tailor. A 5% late payment penalty shall apply to any outstanding balance exceeding the Net 30 period. The Tailor shall issue a formal tax invoice (seikyusho) in accordance with Japanese tax law. All financial transactions related to this Purchase Order are governed by the commercial codes of Japan and the specific regulations of Osaka Prefecture.

Important Notes:

This Purchase Order is binding upon acceptance by the Tailor vendor and signature by both parties.
The Tailor shall not subcontract any portion of the bespoke Tailor work without prior written approval from Osaka Premium Apparel Co., Ltd.
All materials sourced for this order must be traceable to approved suppliers within the Japan Osaka region or certified international partners.
In the event of force majeure affecting the Tailor workshop in Osaka, both parties shall negotiate an amended delivery timeline in good faith.
This Purchase Order supersedes all prior verbal agreements, estimates, or quotations between the parties regarding Tailor services in the Japan Osaka area.

This Purchase Order shall be governed by and construed in accordance with the laws of Japan, specifically the Commercial Code of Japan and applicable Osaka Prefecture municipal regulations. Any disputes arising from or in connection with this Purchase Order, including disputes regarding the quality of Tailor work, delivery timelines within Japan Osaka, or payment obligations, shall first be subject to good-faith negotiation between the parties. If negotiation fails within thirty (30) days, the dispute shall be submitted to the Osaka District Court for resolution. The Tailor acknowledges that all work performed under this Purchase Order constitutes a commercial transaction subject to Japanese consumer protection and commercial law.
