All tailor-made garments and completed alteration services under this Purchase Order shall be delivered to the Nairobi Corporate Attire Ltd. office at Waiyaki Way, Westlands, Nairobi, Kenya. The master tailor at Shujaa Custom Tailoring House shall conduct on-site fitting sessions at the buyer's Nairobi premises on the following dates: initial measurement session on 20 June 2025, first fitting review on 28 June 2025, and final fitting and approval on 5 July 2025. Final delivery of all completed, pressed, and packaged garments shall be made no later than 10 July 2025. The tailor is responsible for all transportation within Nairobi city limits at no additional charge to the buyer.

Payment for this Purchase Order shall be made in two instalments. The first instalment of 50% (KES 1,129,231) shall be remitted via bank transfer to the tailor's Equity Bank account within five (5) business days of the buyer's written acceptance of this Purchase Order. The second and final instalment of 50% (KES 1,129,231) shall be due within seven (7) business days following successful final inspection and acceptance of all tailor-made garments at the Nairobi delivery point. Late payments shall attract interest at the rate of 2% per month as stipulated under the Kenyan Interest and Exchange Rates Act. All payments are denominated in Kenyan Shillings (KES).

1. This Purchase Order is governed by the laws of the Republic of Kenya and shall be interpreted in accordance with the Kenyan Sale of Goods Act, Cap 318, and the Consumer Protection Act, 2012.
2. The tailor, Shujaa Custom Tailoring House, warrants that all garments shall be constructed to the highest standard of craftsmanship, using only the materials specified in the line items above. Any defect in stitching, fabric, or finishing discovered within thirty (30) days of delivery in Nairobi shall be repaired or replaced at the tailor's sole expense.
3. All measurements and fittings shall be conducted personally by the master tailor or a senior tailor under his direct supervision. The buyer reserves the right to reject any garment that does not conform to the agreed measurements and specifications.
4. The tailor shall maintain full confidentiality regarding the buyer's corporate identity, employee names, and any proprietary design elements incorporated into the garments. This obligation survives the completion of this Purchase Order for a period of two (2) years.
5. In the event of force majeure, including but not limited to government-mandated closures in Nairobi, strikes, or natural disasters, the tailor shall notify the buyer in writing within forty-eight (48) hours, and the delivery timeline shall be extended by a mutually agreed period.
6. Disputes arising from this Purchase Order shall first be subject to mediation in Nairobi, Kenya. If mediation fails, the matter shall be referred to the Nairobi Small Claims Court or, where the amount exceeds the jurisdictional limit, to the High Court of Kenya at Nairobi.
7. This Purchase Order constitutes the entire agreement between the parties regarding the tailor services described herein and supersedes all prior negotiations, representations, or understandings, whether oral or written.
8. The tailor shall comply with all applicable Kenyan labour laws, including the Employment Act, 2007, and shall ensure that all apprentices and junior tailors in the workshop are compensated in accordance with the Nairobi minimum wage regulations.
