1. SCOPE OF PURCHASE ORDER – TAILOR SERVICES AND MATERIALSThis Purchase Order is issued by Meridian Corporate Apparel Sdn. Bhd. to Seng Hwa Bespoke Tailor & Co., a registered Tailor establishment operating in the heart of Malaysia Kuala Lumpur, for the procurement of bespoke tailoring services, premium fabric materials, and associated garment accessories. The Tailor shall be responsible for the complete design, cutting, stitching, pressing, and finishing of all garments specified herein in accordance with the quality standards and specifications agreed upon by both parties. All work shall be carried out at the Tailor's workshop located in Malaysia Kuala Lumpur, and final delivery of completed garments shall be made to the ordering company's premises in the same city.

- Payment Terms: A 40% advance payment (RM 76,654.96) shall be remitted to the Tailor within seven (7) working days of acceptance of this Purchase Order. The remaining 60% balance (RM 114,982.44) shall be paid within fourteen (14) working days following final delivery and written acceptance of all garments by the ordering company. All payments shall be made via bank transfer to the Tailor's designated account in Malaysia Kuala Lumpur.
- Delivery: The Tailor shall deliver all completed garments to the ordering company's office at Menara KLCC, Kuala Lumpur, Malaysia, no later than 08 July 2025. Delivery shall be arranged by the Tailor's own logistics team, and all transportation costs within Malaysia Kuala Lumpur are included in the unit prices stated above.
- Quality Assurance: The Tailor guarantees that all garments shall be constructed to the highest bespoke standard. Any garment found to be defective, misstitched, or not conforming to the approved measurements within thirty (30) days of delivery shall be repaired or replaced at no additional cost to the ordering company.
- Measurement and Fitting Sessions: The Tailor shall conduct a minimum of two (2) fitting sessions per client at the Tailor's workshop in Malaysia Kuala Lumpur. The ordering company shall coordinate client attendance, and the Tailor shall provide all necessary fitting equipment and assistance.
- Confidentiality: The Tailor acknowledges that client measurements, design preferences, and corporate branding details are confidential. No information pertaining to this Purchase Order shall be disclosed to any third party without prior written consent from Meridian Corporate Apparel Sdn. Bhd.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government directives, or public health emergencies affecting operations in Malaysia Kuala Lumpur.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
- Validity: This Purchase Order is valid for acceptance within ten (10) calendar days from the date of issue. Failure to confirm acceptance within this period shall render this document null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, quantities, and pricing set forth in this Purchase Order for the Tailor services and materials described herein. This document constitutes a binding agreement between the ordering company and the Tailor for the execution of the work in Malaysia Kuala Lumpur.
