1. Scope of Work: This Purchase Order authorizes the Tailor, Maison du Tailor Hassan Benali, located in the historic Derb Omar district of Casablanca, Morocco, to execute all bespoke tailoring, alteration, and fabric preparation services as itemized above. The Tailor shall ensure that all garments meet the quality standards specified in the attached technical annex and conform to the measurements provided during the on-site consultation session.
2. Quality Assurance: The Tailor guarantees that all workmanship will be performed using traditional Moroccan tailoring techniques combined with modern European construction methods. Each garment shall undergo a minimum of two fitting sessions before final delivery. Any defect discovered within 30 days of delivery shall be repaired or replaced at no additional cost to the Purchasing Party.
3. Delivery & Logistics: All completed items shall be delivered to the Atlas Corporate Attire Ltd. warehouse at 42 Boulevard Mohammed V, Casablanca, Morocco. The Tailor is responsible for proper garment packaging (acid-free tissue, breathable garment bags) and safe transport within the Casablanca metropolitan area. Delivery shall be made between 09:00 and 17:00 on the specified dates.
4. Payment Schedule: A 50% advance payment (MAD 83,340.00) shall be remitted via bank transfer to the Tailor's account within five (5) business days of mutual signature of this Purchase Order. The remaining 50% balance (MAD 83,340.00) shall be due within ten (10) business days following final inspection and acceptance of all delivered items in Casablanca.
5. Intellectual Property & Confidentiality: All design specifications, measurement data, and corporate branding materials shared with the Tailor under this Purchase Order are the exclusive property of Atlas Corporate Attire Ltd. The Tailor shall not reproduce, distribute, or disclose any proprietary information to third parties without written consent.
6. Cancellation & Penalties: Cancellation of any line item after the Tailor has commenced cutting or fabrication shall incur a 40% non-refundable charge on the affected item. Late delivery beyond the agreed dates shall result in a penalty of 1% of the affected line item value per calendar day, capped at 10%.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this agreement shall be resolved through the competent commercial courts of Casablanca, Morocco.
