Terms and Conditions – Purchase Order for Tailor Services in New Zealand Auckland
- This Purchase Order constitutes a binding agreement between Meridian Corporate Apparel Ltd. (hereinafter "the Buyer") and Harbourview Bespoke Tailoring Co. (hereinafter "the Tailor") for the provision of custom tailoring services and finished garments as specified herein.
- All garments and tailoring services shall be manufactured and completed in accordance with the specifications outlined in this Purchase Order. The Tailor shall ensure that all workmanship meets the highest standards of bespoke tailoring as practised in New Zealand Auckland's garment industry.
- The Tailor shall provide a minimum of two (2) fitting sessions per client prior to final delivery. All fittings shall be conducted at the Tailor's workshop located in Ponsonby, Auckland, or at the Buyer's premises in Queen Street, Auckland, as mutually agreed.
- Delivery of all completed items shall be made to the Buyer's headquarters at 42 Queen Street, Auckland, New Zealand, no later than 08 August 2025. Late delivery beyond five (5) business days shall incur a penalty of 2% of the total Purchase Order value per week of delay.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Tailor, via bank transfer to the account nominated by the Tailor. All amounts are quoted in New Zealand Dollars (NZD) and are inclusive of applicable Goods and Services Tax (GST) at the current New Zealand rate of 15%.
- The Tailor warrants that all materials used in the construction of garments shall be of the grade and origin specified. Any substitution of fabric, thread, or hardware must be approved in writing by the Buyer prior to commencement of work.
- A defect liability period of ninety (90) days applies to all items under this Purchase Order. During this period, the Tailor shall repair or replace any garment exhibiting defects in workmanship, stitching, or construction at no additional cost to the Buyer.
- This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this agreement shall be resolved through the District Court of Auckland, New Zealand. The Tailor acknowledges that all work performed under this order falls within the jurisdiction of the Auckland region.
- The Tailor shall maintain full public liability insurance with a minimum cover of NZD 10,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. All intellectual property related to custom designs and patterns created specifically for this order shall remain the property of the Buyer.
- This Purchase Order may only be amended or varied by a written addendum signed by authorised representatives of both the Buyer and the Tailor. Verbal agreements or informal communications shall not constitute a valid modification of this document.
