This Purchase Order is issued by Northern Capital Fashion House LLC (hereinafter referred to as the "Buyer") to Atelier Meridian Tailoring Workshop (hereinafter referred to as the "Tailor" or "Seller") for the provision of bespoke tailoring services, custom garment manufacturing, and associated textile materials. This Purchase Order governs all terms, conditions, pricing, and delivery obligations related to the procurement of tailored garments and related services to be executed within the city of Russia Saint Petersburg. The Tailor acknowledges receipt of this Purchase Order and agrees to fulfill all specifications outlined herein in accordance with the highest standards of craftsmanship expected in the Russia Saint Petersburg tailoring industry.

All completed garments and services under this Purchase Order shall be delivered to the Buyer's premises located at 42 Nevsky Prospekt, Building 3, Floor 7, Saint Petersburg, 191025, Russia. The Tailor is responsible for all transportation, handling, and insurance of the goods from the Tailor's workshop at 18 Fontanka Embankment to the Buyer's designated receiving area within Russia Saint Petersburg. Delivery is scheduled in three phases: Phase 1 (Items 01, 02, 04) by 15 July 2025; Phase 2 (Items 03, 05) by 25 July 2025; and Phase 3 (Items 06, 07, 08) by 30 July 2025. All deliveries must be made between 09:00 and 17:00 Moscow Time on business days. The Tailor shall provide a written delivery confirmation signed by the Buyer's receiving agent upon each phase completion.
Payment Terms and Conditions- A 40% advance payment (RUB 2,050,176) shall be due within five (5) business days of the Buyer's written acceptance of this Purchase Order. The remaining 60% (RUB 3,075,264) shall be due within thirty (30) calendar days following final delivery and acceptance of all items.
- Payment shall be made via bank transfer to the Tailor's designated account: Sberbank, Branch Saint Petersburg, Account No. 40702810400000123456, BIC: SABRRU32SPB, in favor of Atelier Meridian Tailoring Workshop.
- Late payments shall incur a penalty of 0.1% per calendar day on the outstanding balance, in accordance with the Civil Code of the Russian Federation.
- The Tailor shall issue a formal invoice (schet-faktura) for each payment phase, compliant with the tax regulations of Russia Saint Petersburg and the Federal Tax Service requirements.
- All prices stated in this Purchase Order are fixed and shall not be subject to adjustment for the duration of the contract, regardless of fluctuations in textile material costs within the Russia Saint Petersburg market.
The Tailor warrants that all garments produced under this Purchase Order shall conform to the specifications, measurements, and fabric selections agreed upon during the initial consultation. Each garment shall undergo a minimum of two (2) fitting sessions before final completion. The Buyer reserves the right to reject any item that does not meet the agreed-upon quality standards, in which case the Tailor shall rectify the deficiency at no additional cost within ten (10) business days. The Tailor guarantees a workmanship warranty of twelve (12) months from the date of final delivery, covering any defects in stitching, construction, or structural integrity. All tailoring work shall be performed exclusively at the Tailor's registered workshop in Russia Saint Petersburg, and no portion of the manufacturing shall be subcontracted to third parties without the Buyer's prior written consent.
General Provisions- This Purchase Order constitutes a binding agreement between the Buyer and the Tailor upon signature by both parties. Any amendments must be made in writing and signed by authorized representatives of both parties.
- This Purchase Order shall be governed by and interpreted in accordance with the laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of Saint Petersburg, Russia.
- The Tailor shall maintain full liability insurance covering all garments in their possession from the moment of material receipt until final delivery to the Buyer.
- Confidentiality: The Tailor agrees to maintain strict confidentiality regarding all client measurements, design specifications, and business information obtained in connection with this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Russia Saint Petersburg.
- This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted within this period, it shall automatically lapse and require reissuance.
