Terms & Conditions of this Purchase Order

• 1. Scope of Tailor Services: Bangkok Heritage Tailor House (hereinafter referred to as "the Tailor") agrees to perform all bespoke tailoring, alteration, and garment construction services as specified in this Purchase Order. All work shall be executed at the Tailor's registered workshop located in the Samphanthawong district of Bangkok, Thailand, or at such other location within Bangkok as mutually agreed in writing.
• 2. Fittings and Measurements: The Tailor shall conduct a minimum of two (2) in-person fitting sessions per bespoke garment at their Bangkok atelier. The Buyer's representatives shall be available during business hours (09:00–18:00 ICT) at the Tailor's Bangkok premises for all scheduled fittings.
• 3. Quality Assurance: All garments produced by the Tailor shall conform to the quality benchmarks established by the Bangkok Tailor Trade Association. Any garment found to be defective or not conforming to the agreed specifications upon delivery shall be re-tailored or replaced at no additional cost to the Buyer within fourteen (14) calendar days of the delivery date.
• 4. Payment Schedule: A fifty percent (50%) advance payment of THB 561,976.25 shall be remitted to the Tailor within five (5) business days of the acceptance of this Purchase Order. The remaining fifty percent (50%) balance of THB 561,976.25 shall be due upon final inspection and acceptance of all delivered items in Bangkok. Payment shall be made via bank transfer to the Tailor's designated account in Thailand.
• 5. Delivery and Risk: All items shall be delivered DAP (Delivered at Place) to the Buyer's office at 42/8 Sukhumvit Road, Bangkok, Thailand. Risk of loss or damage transfers to the Buyer upon physical delivery at the Bangkok premises. The Tailor shall provide a signed delivery note for each batch.
• 6. Intellectual Property and Confidentiality: All measurements, design specifications, and corporate branding details shared with the Tailor under this Purchase Order shall be treated as confidential. The Tailor shall not disclose, reproduce, or use such information for any purpose other than the fulfilment of this Purchase Order in Bangkok.
• 7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation between the parties in Bangkok. Failing resolution within thirty (30) days, the matter shall be submitted to the Bangkok Commercial Court for adjudication.
• 8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Bangkok, or supply chain disruptions affecting the Tailor's ability to source materials in Thailand.
• 9. Amendments: Any modification to this Purchase Order, including changes to the scope of Tailor services, quantities, delivery timelines, or pricing, must be documented in a written amendment signed by both parties. Verbal agreements made in Bangkok or elsewhere shall not constitute a valid amendment.
