2. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the Melbourne Primary Education Authority to procure a comprehensive package of professional development materials, classroom resources, and digital learning tools specifically designed for Teacher Primary staff operating within the Australia Melbourne metropolitan education zone. The scope of this Purchase Order encompasses the supply, delivery, installation, and initial training associated with all line items listed below. All goods and services shall be delivered in accordance with the Victorian Education Act 2013 and the Australian Professional Standards for Teachers (Primary) as established by the Australian Institute for Teaching and School Leadership (AITSL).

This Purchase Order is binding upon execution by both parties and shall govern all transactions related to the procurement of Teacher Primary resources for the 2025–2026 academic year in Australia Melbourne. No amendments to this Purchase Order shall be valid unless executed in writing by authorised representatives of both the Melbourne Primary Education Authority and the Supplier.

4. DELIVERY SCHEDULE AND LOGISTICS

All physical goods under this Purchase Order shall be delivered to the designated primary school sites across the Australia Melbourne metropolitan area, including but not limited to the northern, southern, eastern, and western suburbs of Melbourne. The Supplier shall coordinate delivery with each school's designated Teacher Primary liaison officer. Digital licences and software modules shall be activated no later than 1 July 2025, prior to the commencement of the 2025–2026 academic year. The Supplier shall provide a detailed delivery timetable within 14 calendar days of this Purchase Order being executed. All deliveries must comply with Victorian workplace health and safety regulations and the Australian Consumer Law.

5. PAYMENT TERMS AND CONDITIONS
  • Payment Schedule: 30% deposit upon execution of this Purchase Order; 40% upon confirmed delivery of all physical goods to Australia Melbourne school sites; 30% upon successful completion of all on-site training sessions for Teacher Primary staff.
  • Payment Method: Electronic Funds Transfer (EFT) to the Supplier's nominated Australian bank account. All payments shall be denominated in Australian Dollars (AUD).
  • Payment Terms: Net 30 days from receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Victorian Interest on Late Payments of Government Debts Act 2013.
  • Warranty: All physical goods carry a minimum 12-month manufacturer's warranty. Digital licences are guaranteed for the full subscription period stated in Section 3. Any defective items shall be replaced at the Supplier's cost within 10 business days.
  • Compliance: The Supplier warrants that all materials are aligned with the Victorian Curriculum F–10 (Primary) and the Australian Professional Standards for Teachers (Primary). Non-compliant materials shall be rejected at no cost to the Purchasing Entity.
  • Confidentiality: All data relating to Teacher Primary staff, student records, and school performance metrics accessed through the digital platforms shall be handled in strict accordance with the Victorian Information Privacy Act 2014 and the Australian Privacy Principles.
  • Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation under the Victorian Commercial Arbitration Act 2011. If unresolved, matters shall be referred to the Supreme Court of Victoria, Melbourne, Australia.
  • Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Melbourne region, government-mandated school closures, or supply chain disruptions.
6. AUTHORITY AND EXECUTION

This Purchase Order is issued under the delegated authority of the Melbourne Primary Education Authority, established under the Victorian Education Act 2013.
