1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by the Secretaria de Educação do Estado do Rio de Janeiro for the procurement of comprehensive Teacher Primary educational services, instructional materials, and professional development resources. The scope of this Purchase Order covers the supply and delivery of all necessary items and services required to support the Teacher Primary program across public primary schools located in the municipality of Brazil, Rio de Janeiro. The program aims to enhance the quality of primary education by equipping certified Teacher Primary professionals with modern pedagogical tools, classroom resources, and ongoing training. All goods and services referenced in this Purchase Order shall be delivered and performed within the administrative boundaries of Brazil, Rio de Janeiro, in full compliance with applicable Brazilian federal and state procurement regulations, including Law No. 14.133/2021 (Nova Lei de Licitações).

3. Delivery and Performance Schedule

All physical goods listed in this Purchase Order shall be delivered to the designated receiving warehouses of the Secretaria de Educação located in the Centro district of Brazil, Rio de Janeiro within 45 (forty-five) calendar days from the date of this Purchase Order. The Teacher Primary professional development certification program shall commence no later than August 1, 2025, and shall be conducted at the Centro de Formação de Professores located at Rua da Lapa, 154, Centro, Rio de Janeiro, RJ. On-site training and mentorship services shall be scheduled in coordination with the academic calendar of the Brazil, Rio de Janeiro public school system, with quarterly sessions planned for August, November 2025, and February 2026. The digital learning platform and assessment software shall be fully deployed and operational across all 40 participating schools in Brazil, Rio de Janeiro within 60 (sixty) days of Purchase Order acceptance.

4. Payment Terms

Payment for this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in Brazilian Reais (BRL) and payable via TED transfer to the supplier's designated bank account in Brazil, Rio de Janeiro:

30% Advance Payment: R$ 2,182,410.00 – due within 10 business days of Purchase Order acceptance and submission of a signed contract.
40% Milestone Payment: R$ 2,909,880.00 – due upon verified delivery of all physical goods and completion of the first quarterly Teacher Primary training cycle.
30% Final Payment: R$ 2,182,410.00 – due upon full completion of all services, final software deployment, and submission of the closing report within 30 days of program completion.

Payment terms are Net 30 days from the date of invoice receipt. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law. All invoices must reference this Purchase Order number (PO No. RJ-2025-04871) and include the supplier's CNPJ registration number.

5. Terms and Conditions

This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction of the courts of Brazil, Rio de Janeiro.
The supplier warrants that all Teacher Primary instructional materials, software, and services shall meet or exceed the quality standards established by the Conselho Nacional de Educação (CNE) and the state education board of Rio de Janeiro.
The supplier shall maintain all necessary professional licenses, certifications, and insurance policies valid throughout the performance period of this Purchase Order.
Any modifications to the scope, quantity, or schedule of this Purchase Order must be made in writing and signed by authorized representatives of both parties. No verbal agreements shall be binding.
The supplier shall comply with all applicable labor, environmental, and data protection regulations in force in Brazil, Rio de Janeiro, including the Lei Geral de Proteção de Dados (LGPD – Law No. 13.709/2018) for any student data processed through the digital platforms.
The purchasing party reserves the right to inspect and audit all Teacher Primary program activities, materials, and financial records at any reasonable time during the performance period.
In the event of non-performance or material breach, the purchasing party may terminate this Purchase Order with 15 days' written notice and seek remedies as provided under Brazilian civil and commercial law.
All intellectual property related to the Teacher Primary curriculum, software, and training methodologies shall remain the property of the supplier, with a perpetual, non-exclusive license granted to the Secretaria de Educação for use within the public primary school network of Brazil, Rio de Janeiro.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Teacher Primary program in Brazil, Rio de Janeiro. This document constitutes a binding procurement instrument under the applicable Brazilian public procurement framework.
