This Purchase Order is issued by the Beijing Municipal Education Bureau, Teacher Primary Development Division, to formally request the procurement of comprehensive educational services, training materials, and professional development resources specifically designed for Teacher Primary personnel operating within the China Beijing metropolitan area. The scope of this Purchase Order encompasses the full lifecycle of Teacher Primary professional enhancement, including curriculum-aligned workshop facilitation, digital learning platform licensing, printed and digital teaching resources, and ongoing pedagogical support services. All deliverables under this Purchase Order must comply with the Ministry of Education of the People's Republic of China standards for primary-level Teacher Primary qualification and continuous professional development requirements as applicable in China Beijing.

All physical goods and printed materials referenced in this Purchase Order shall be delivered to the designated receiving warehouses located in Haidian District, China Beijing, no later than 30 August 2025. The Teacher Primary Digital Learning Platform must be fully deployed and accessible to all 5,000 licensed users by 1 September 2025, coinciding with the start of the new academic year in China Beijing. The Teacher Primary Mentorship Programme shall commence on 1 September 2025 and run through 31 August 2026. The 12-session Teacher Primary workshop series shall be scheduled across the months of September 2025 through April 2026, with specific dates to be confirmed in writing by the Buyer no later than 30 days prior to each session. All delivery and implementation activities must be conducted within the administrative boundaries of China Beijing unless otherwise authorized in writing by the Buyer.

Payment for all goods and services under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the Supplier's designated account. The Buyer shall issue payment within forty-five (45) calendar days of receipt of a valid, itemized invoice from the Supplier. A 30% advance payment shall be due upon execution of this Purchase Order. The remaining 70% shall be payable in two equal installments: the first upon completion of 50% of the deliverables, and the second upon final acceptance and sign-off of all Teacher Primary programme components. Late payments shall incur interest at the rate of 0.05% per calendar day as stipulated under applicable commercial law in China Beijing. The Supplier must provide a valid VAT invoice (fapiao) for each payment tranche in accordance with the tax regulations of the People's Republic of China.

All Teacher Primary materials, whether printed or digital, must meet the quality standards established by the Beijing Municipal Education Bureau and the national curriculum framework for primary education in China Beijing. The Supplier warrants that all Teacher Primary workshop facilitators hold valid primary education teaching credentials and a minimum of five (5) years of classroom experience in China Beijing. The Buyer reserves the right to inspect, audit, and reject any deliverable that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced or corrected by the Supplier at no additional cost within fifteen (15) business days of written notice. Final acceptance of the complete Teacher Primary programme package shall be documented via a signed Acceptance Certificate issued by the Buyer's designated project manager.

The Supplier acknowledges that in the course of fulfilling this Purchase Order, it may access personally identifiable information of Teacher Primary personnel, student records, and internal educational data pertaining to primary schools in China Beijing. The Supplier shall comply fully with the Personal Information Protection Law of the People's Republic of China and all applicable data security regulations. No Teacher Primary participant data collected during workshops, mentorship sessions, or digital platform usage in China Beijing shall be disclosed to third parties, used for commercial marketing, or transferred outside the jurisdiction of China Beijing without prior written consent from the Buyer.

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or in connection with this Purchase Order, including its interpretation, performance, or breach, shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission for arbitration in China Beijing. The arbitral award shall be final and binding upon both parties.

This Purchase Order constitutes the entire agreement between the Buyer and the Supplier with respect to the Teacher Primary procurement described herein and supersedes all prior negotiations, representations, or agreements. No amendment, modification, or waiver of any provision of this Purchase Order shall be effective unless made in writing and signed by authorized representatives of both parties. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting China Beijing, shall excuse timely performance to the extent directly caused by such events, provided that the affected party notifies the other in writing within five (5) business days. This Purchase Order may be executed in counterparts, each of which shall be deemed an original.
