All physical goods listed under this Purchase Order shall be delivered to the designated Mumbai Primary Education Board warehouses located at Andheri East and Borivali, Mumbai, within 45 calendar days from the date of this Purchase Order. The Teacher Primary digital modules and software licences shall be activated and made accessible to all enrolled primary teachers in Mumbai within 30 calendar days. The in-service workshops shall be conducted between 1 August 2025 and 30 September 2025 at the MPEB Training Centre, Borivali, Mumbai. Acceptance of goods and services shall be confirmed in writing by the MPEB Quality Assurance Cell within 10 working days of delivery. Any non-conforming items related to the Teacher Primary programme shall be replaced or refunded at the supplier's cost within 15 working days of the acceptance report.
6. Payment Terms & Conditions- Payment shall be made via RTGS/NEFT to the supplier's designated bank account in Mumbai, India, within 30 days of receipt of a valid GST tax invoice and satisfactory acceptance of the corresponding Teacher Primary goods or services.
- A retention of 5% of the total Purchase Order value shall be withheld until the completion of the full academic year 2025–26 and final performance review of the Teacher Primary training outcomes.
- Interest on delayed payment shall be calculated at 12% per annum as per the Maharashtra State Government procurement guidelines.
- All payments are subject to deduction of TDS (Tax Deducted at Source) at the applicable rate under Section 194H of the Income Tax Act, 1961, of India.
- The supplier shall maintain all books and records pertaining to this Purchase Order for a minimum period of 8 years as mandated by Indian tax law.
All Teacher Primary educational materials procured under this Purchase Order shall conform to the curriculum standards prescribed by the Maharashtra State Board of Secondary and Higher Secondary Education and the National Curriculum Framework (NCF) 2005 issued by the National Council of Educational Research and Training (NCERT), New Delhi. The supplier warrants that all printed materials are free from defects, all digital content is virus-free and accessible, and all training programmes are delivered by certified primary education specialists with a minimum of 10 years of experience in Mumbai primary schools. The supplier shall comply with all applicable labour laws, environmental regulations, and data protection norms (including the Digital Personal Data Protection Act, 2023) in the execution of this Purchase Order within the jurisdiction of Mumbai, Maharashtra, India.
8. Dispute Resolution & Governing LawThis Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order for the Teacher Primary programme in Mumbai shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra, India. The language of arbitration shall be English. The jurisdiction of the competent courts in Mumbai, Maharashtra, India shall be exclusively invoked for any legal proceedings.
9. General Provisions- This Purchase Order constitutes the entire agreement between the parties with respect to the Teacher Primary procurement in Mumbai and supersedes all prior negotiations, representations, or agreements.
- No amendment or modification of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
- The supplier shall not subcontract any part of the Teacher Primary training or digital services without prior written consent from the MPEB, Mumbai.
- Force majeure events, including but not limited to natural disasters affecting the Mumbai metropolitan region, shall extend delivery timelines proportionally upon written notice.
- This Purchase Order is issued in accordance with the Maharashtra State Government Procurement Policy and the Government of India's Public Procurement Rules, 2024.
