  1. Delivery Location: All goods under this Purchase Order shall be delivered to the designated primary school locations within Iraq Baghdad, as specified in the attached delivery schedule. The supplier is responsible for all transportation, handling, and insurance costs within the Baghdad metropolitan area.
  2. Delivery Timeline: The supplier must complete full delivery and installation of all items listed in this Purchase Order no later than 30 July 2025, to ensure all Teacher Primary staff are fully equipped before the commencement of the 2025–2026 academic year in Iraq Baghdad.
  3. Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon delivery and inspection of all goods at the Baghdad school sites, and 20% upon successful completion of the Teacher Primary training program and final acceptance. All payments shall be processed in Iraqi Dinar (IQD) via bank transfer to the supplier's registered account in Baghdad.
  4. Quality Assurance: All items must conform to the specifications outlined in this Purchase Order and the Iraqi national standards for educational equipment. The Ministry of Education, Baghdad Directorate, reserves the right to inspect and reject any goods that do not meet the required quality benchmarks for Teacher Primary use.
  5. Warranty: The supplier shall provide a minimum two-year warranty on all electronic equipment (laptops, projectors, interactive whiteboards, and scanners) and a one-year warranty on all furniture and instructional kits. Warranty service must be available within Iraq Baghdad with a maximum response time of 48 hours.
  6. Compliance: The supplier certifies that all goods are new, unused, and free from any liens or encumbrances. The supplier further certifies compliance with all applicable laws and regulations of the Republic of Iraq, including those governing the procurement of educational materials for the Teacher Primary sector in Baghdad.
  7. Penalties for Delay: In the event of delayed delivery beyond the deadline stated in this Purchase Order, the supplier shall pay a penalty of 0.5% of the total contract value per day of delay, up to a maximum of 10%. Delays exceeding 30 days shall entitle the Ministry of Education, Iraq Baghdad, to terminate this Purchase Order without further liability.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be submitted to the competent courts in Baghdad, Republic of Iraq, in accordance with Iraqi commercial law.
  9. Confidentiality: Both parties agree to maintain the confidentiality of all information exchanged under this Purchase Order, including pricing, specifications, and the identities of Teacher Primary staff assigned to specific schools in Iraq Baghdad.
  10. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting Iraq Baghdad.

This Purchase Order is hereby authorized and executed by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document for the procurement of Teacher Primary educational resources in Iraq Baghdad.
